Promise Not to Engage in Certain Employment. I agree that, while this Agreement is in effect and for 24 months after its termination, I will not accept any employment or engage in any activity, without the written consent of the Board if the loyal and complete fulfillment of my duties would inevitably require me to reveal or utilize Trade Secrets or Confidential Information, as reasonably determined by the Board.
Promise Not to Engage in Certain Employment. I agree that, during the Restricted Period, I will not, without the prior written consent of the Board, accept any employment, provide any services, advice or information; or assist or engage in any activity (whether as an employee, consultant, or in any other capacity, whether paid or unpaid) with (1) any specialty finance firm or investment management company focused on commercial real estate-related debt instruments or (2) any business that, as of the date of my termination, directly competes with the Company.
Promise Not to Engage in Certain Employment. Executive agrees that, during the Restricted Period, he will not, without the prior written consent of the Company, accept any employment; provide any services, advice or information; or assist or engage in any activity (whether as an employee, consultant, or in any other capacity, whether paid or unpaid) with any business or other entity in the business, directly or indirectly, for profit or not, of developing, with a majority of its revenue derived from distributing or marketing compounds or technologies for the treatment of cancer in the United States.
Promise Not to Engage in Certain Employment. I agree that for a ------------------------------------------- period of two years commencing on the date of my termination of employment for any reason, I will not accept any employment or engage in any activity, without the written consent of the President of the Company, if the loyal and complete fulfillment of my duties would inevitably require me to reveal or utilize trade secrets or other confidential information which I have promised not to disclose, as reasonably determined by the President of the Company.
Promise Not to Engage in Certain Employment. Executive agrees that, while this Agreement is in effect and for 12 months after its termination, he will not accept any employment or engage in any activity, without the written consent of the Board, if the loyal and complete fulfillment of his duties in such employment or activity would inevitably require him to reveal or utilize Confidential Information, as reasonably determined by the Board.
Promise Not to Engage in Certain Employment. Employee agrees that, while this Agreement is in effect and for 24 months after its termination, Employee will not accept any employment or engage in any activity in the retail industry where the sale of bed and bath products exceeds twenty-five percent (25%) of the business, without the written consent of the Executive Committee of the Board, excluding Employee (the "Executive Committee"), if the loyal and complete fulfillment of Employee's duties would inevitably require Employee to reveal or utilize any Confidential Information that Employee has promised in this Paragraph 12 not to disclose, as reasonably determined by the Executive Committee. Notwithstanding any provision to the contrary in this Agreement, this promise shall only be enforceable while Employee is receiving payments pursuant to Paragraph 15(b).
Promise Not to Engage in Certain Employment. The Executive ------------------------------------------------ agrees that, while this Agreement is in effect and for 24 months after its termination, the Executive shall not accept any employment or engage in any activity, without the prior written consent of the Board if the loyal and complete fulfillment of the Executive's duties would inevitably require the Executive to reveal or utilize Trade Secrets or Confidential Information. Notwithstanding the foregoing, the restrictions set forth in this Section 7.3 shall terminate and be of no further force and effect upon the occurrence of Ayin Holding Company Inc.'s failure to make payment under the Promissory Note (as that term is defined under the Stock Purchase Agreement) where such payment is not prohibited by applicable loan agreements to which Ayin Holding Company Inc. or Charys is a party.
Promise Not to Engage in Certain Employment. Executive agrees and covenants that because of the confidential and sensitive nature of the Confidential Information and because the use of the Confidential Information in certain circumstances may cause irrevocable damage to the Group, Executive will not, during Restricted Period, engage, directly or indirectly, in any business, enterprise, or employment that is directly competitive with the Group’s business of developing, distributing or marketing compounds or technologies for the manufacture and distribution of smoothies, or smoothie-like beverages, in the United States or elsewhere.
Promise Not to Engage in Certain Employment. I agree that, for 12 months from the date I sign this Agreement, I will not accept any employment or engage in any activity, without the Company’s written consent, if the loyal and complete fulfillment of my duties would inevitably require me to reveal or use trade secrets or other confidential information I have promised not to disclose or use, as reasonably determined by the Company.
Promise Not to Engage in Certain Employment. I agree that, while this Agreement is in effect and for 6 months after termination, I will not accept any employment or engage in any activity, without the written consent of the Chairman of the Board if the loyal and complete fulfillment of my duties would inevitably require me to reveal or utilize Confidential Information, as reasonably determined by the Chairman of the Board.
