Use of the Confidential Information. 1.1 The Receiving Party agrees that all Confidential Information will be held and treated in confidence and shall:
1.1.1 only use the Confidential Information for the purpose of the Discussions;
1.1.2 only disclose Confidential Information to its parent or holding company and subsidiary companies of that parent or holding company (‘Associated Companies’) and to its or their employees, agents, contractors, directors and advisors (‘Personnel’) who need to know for the Discussions;
1.1.3 inform its Associated Companies and its and their Personnel who receive Confidential Information of its confidential nature and direct them to treat it as confidential;
1.1.4 be responsible for any breach of this agreement by any of its Associated Companies or its or their Personnel; and
1.1.5 comply with any particular policies and requirements notified to it concerning access to the Disclosing Party’s premises, networks or systems.
Use of the Confidential Information. I agree that, without the express written permission of the Vender, I will not use the Confidential Information for any purpose other than in the pursuit of entering into a binding "Purchase Agreement". I further agree not to disclose the Confidential Information to any third party without the express written permission of the Vender.
Use of the Confidential Information. Recipient shall treat all Confidential Information as strictly confidential and understands that Recipient may use the Confidential Information solely in connection with the Purpose described above. Recipient shall not use, display, disclose, publish, rely upon, disseminate or otherwise make the Confidential Information available to anyone in any form other than to those MTA C&D employees (and certain consultants approved by MTA C&D) who have a “need to know” the contents of the Confidential Information in order to accomplish the Purpose.
Use of the Confidential Information. The Receiving Party shall not use the Confidential Information other than for the “Purpose”, and will keep the Confidential Information strictly confidential and safeguard the Confidential Information from unauthorized disclosure.
Use of the Confidential Information. UNC CHARLOTTE shall, under suitable confidentiality agreements, disclose the Confidential Information to certain students participating in the Innovation Computing Project. Such students, under the supervision of UNC Charlotte faculty and staff, shall endeavor to develop solutions to the challenges pertaining to the Confidential Information and shall create reports summarizing their work in this regard. In support of such work to be performed by such students, Company hereby agrees to donate to UNC Charlotte the sum of five thousand dollars (US$5,000) within thirty (30) days of the Effective Date of this Agreement.
Use of the Confidential Information a. Company will hold all of the Confidential Information in strict confidence, and except as expressly set forth herein, will not disclose such Confidential Information to any third person(s) (which term as used in this Agreement will be broadly interpreted to include without limitation any corporation, company, group, partnership, agency, or individual).
b. Company shall: (i) use the Confidential Information only in connection with the Permitted Use; (ii) disclose the Confidential Information only to its officers, directors, employees and advisors who need to know the Confidential Information to accomplish the Permitted Use; and (iii) safeguard the Confidential Information with the same degree of care to avoid unauthorized disclosure as Company uses to protect its own Confidential Information of a similar nature; but in no case less than reasonable care. It is Company's responsibility to ensure that any officers, directors, or employees to have access to the Confidential Information will, prior to being provided with any or all of the Confidential Information, agree to be bound by the terms of this Agreement. Company shall not use the Confidential Information in any respect to compete with ProVantage at any time or provide such Information to a third party to compete with ProVantage.
c. Immediately after Company's use of the Confidential Information for the Permitted Use, or earlier upon written request by ProVantage, Company shall return to ProVantage all of the Confidential Information, together with summaries of the Confidential Information or shall destroy such summaries; provided, however, that the Company may retain one copy of all the Confidential Information in its legal files in order to monitor compliance with this Agreement.
d. ProVantage will use its best efforts to ensure the accuracy and completeness of the Confidential Information, but ProVantage does not make and will not be deemed to have made any warranty as to the accuracy or completeness of any of the Confidential Information. ProVantage will not be liable for any damages arising out of the use of the Confidential Information disclosed hereunder.
e. Company will assume the liability for all damages, losses, costs, or expenses which result from (i) the use of the Confidential Information by Company for any purpose other than the Permitted Use; (ii) disclosure of the Confidential Information by Company to third parties or entities; or (iii) the use of the Confidential Information by any ...
Use of the Confidential Information. 1.1 In consideration of the Disclosing Party disclosing Confidential Information to the Receiving Party, the Receiving Party agrees that all Confidential Information will be held and treated by it in confidence. The Receiving Party shall use Confidential Information only for the purpose of the Discussions and for no other purpose without the prior written consent of the Disclosing Party. The Receiving Party shall only disclose Confidential Information to its parent or holding company and subsidiary companies of that parent or holding company on a worldwide basis (the “Associated Companies”) and to such of its or their employees, agents, directors and advisors who need to know for the purposes of the Discussions.
1.2 The Receiving Party undertakes to inform its Associated Companies and its and their employees, agents, directors and advisors who receive Confidential Information of the confidential nature of such information and to direct them to treat it as confidential for the purpose described above. The Receiving Party shall be responsible for any breach of this Agreement by any of its Associated Companies or its or their employees, agents, directors or advisors.
Use of the Confidential Information. 1The Receiving Party shall use the Confidential Information for the purpose of the Discussions only and shall not use or appropriate the Confidential Information for its own benefit or otherwise in any other manner without the prior written consent of the Disclosing Party. The Receiving Party shall only disclose Confidential Information to its Associated Companies and to such of its employees, agents, directors and advisors whose position is such that such disclosure is necessary for the Discussions.
Use of the Confidential Information. 2.1 The Recipient must treat the Confidential Information as secret and confidential and maintain the secrecy and confidentiality of the Confidential Information. The Recipient may only disclose the Confidential Information to:
(a) the persons specified in the schedule; and
(b) other persons to whom Xxxxxxxx consents in writing prior to the disclosure; and
(c) its legal advisers when reviewing this deed.
2.2 The Recipient must inform in writing each person to whom the Confidential Information is disclosed that the Confidential Information:
(a) is secret and confidential;
(b) must not be disclosed, except as permitted under this deed, and must obtain a written undertaking from each to whom the Confidential Information is disclosed that the person will maintain the secrecy and confidentiality of the Confidential Information.
2.3 The Recipient must not use the Confidential Information or allow the Confidential Information to be used in a manner detrimental to Seanezzi or for any purpose other than for the Permitted Purpose.
2.4 The Recipient must take all necessary precautions to prevent the unauthorised disclosure of the Confidential Information, including but not limited to:
(a) discussion of the Confidential Information only within the confines of closed meeting rooms or offices;
(b) ensuring no third party is present while the Confidential Information is discussed; and
(c) not making copies of the Confidential Information without the prior written consent of Xxxxxxxx.
Use of the Confidential Information. 3. 1.I The Receiving Party commits to keep Confidential Information as strictly confidential, even though the Disclosing Party did not expressly mention their confidential nature and, in this context, commits:
a) to use the Confidential Information strictly limited for the sole needs of the Purpose and acknowledges that the Confidential Information shall remain in any case the property of the Disclosing Party,
b) not to make/realize or have made/realized any copy, on the occasion of its visits or contacts in the premises of the Disclosing Party, in any form or media whatsoever such as photos, films or visual or sound or magnetic recordings on aids or media, including mobile phone and personal digital assistant picture functions, concerning in whole or in part a vehicle, a plan, a laboratory, a test bench, an installation or an equipment of the Disclosing Party, without the prior written approval of the latter,
