Property and Assets; Sufficiency of Assets. (a) The Company and each Company Subsidiary has good title to, or a valid leasehold interest in (with respect to leased or licensed assets and properties), all of its property and assets, tangible or intangible, with a value in excess of $5,000,000 (the “Company Property”), in each case free and clear of all Encumbrances other than Permitted Encumbrances or Encumbrances for Taxes with respect to Kaiser or any of its Subsidiaries. (b) The assets, properties and rights the benefit of which will be provided to Heineken or any of its Affiliates through its acquisition of the Company and the Company Subsidiaries, together with any rights provided to Heineken or any of its Affiliates pursuant to the Transaction Documents and the transactions contemplated thereby, constitute all of the assets, properties and rights necessary and sufficient for the conduct and operation of the business of the Company and the Company Subsidiaries, taken as a whole, as currently conducted or proposed to be conducted.

Property and Assets; Sufficiency of Assets. (a) The Acquired Pro Forma Entities do not own any real property. Section 3.12 of the Disclosure Schedule lists (i) all real estate leases and subleases to which each of the Acquired Pro Forma Entities is a party (the “Leases”), (ii) the street address of each parcel of such leased real property, (iii) the landlord under each Lease, the rental amount currently being paid, and the expiration of the term of such Lease and (iv) the current use of such leased real property. None of the Acquired Pro Forma Entities is a sublessor or grantor under any sublease or other instrument granting to any other Person any right to the possession, lease, occupancy or enjoyment of the leased real property. (b) At the Closing, after giving effect to the Pre-Closing Restructuring, the Acquired Pro Forma Entities, as applicable, will have good and valid title to, or otherwise have the right to use pursuant to a valid and enforceable lease, license or similar Contract, all of the assets reflected on the Pro Forma Base Balance Sheet or acquired after the date of the Pro Forma Base Balance Sheet (other than assets sold or otherwise disposed of in the ordinary course of business since the date of the Pro Forma Base Balance Sheet), in each case, free and clear of any Liens, other than Permitted Liens. (c) At the Closing, after giving effect to the Pre-Closing Restructuring, (i) the Acquired Pro Forma Entities and the rights granted under this Agreement and the Transaction Documents (including the obligation of Seller and its Affiliates to perform the Initial Services (as such term is defined in the Services Agreement)), taken as a whole, (A) will constitute all of the assets that are Related to the Company Business, except (x) those assets that would not, individually or in the aggregate, reasonably be expected to be material to the Acquired Pro Forma Entities, taken as a whole and (y) those assets of Seller and its Affiliates to be used by Seller and its Affiliates in the performance of the Initial Services and (B) will be sufficient for the Company and the Purchased Subsidiaries to operate and conduct the Company Business from and after the Closing in a manner consistent with the manner in which the Company Business is operated and conducted as of the date hereof, and (ii) subject to Sections 5.14 and 5.15, none of Seller or its Affiliates will own, lease or license any asset that is Related to the Company Business, except those assets of Seller and its Affiliates to be used by Se...

  • Title to Assets; Sufficiency of Assets (a) The Seller has, and at the Closing the Seller will deliver to Acquiror, good and valid title to or, in the case of licensed assets, a valid and binding license to the Purchased Assets free and clear of all Encumbrances, a valid and binding license under the Seller Multi-Application Technology pursuant to Section 2.5 and, as applicable, a valid and binding sublicense under the Licensed Intellectual Property (as defined in the Acrux License) pursuant to the Sublicense Agreement. Except as set forth on Schedule 6.14(a) of the Seller Disclosure Schedule, no Subsidiary of the Seller owns, beneficially or of record, or has any rights, title or interest in, to or under any Purchased Asset or conducts any part of the Evamist Business, and there are no employees of any Subsidiary of the Seller employed in the Evamist Business or who perform tasks that are necessary for the proper operation of the Evamist Business. (b) The Purchased Assets (together with the rights of the Acquiror and its Affiliates under the Related Agreements), the rights granted pursuant to Section 2.5 and, as applicable, pursuant to the Sublicense Agreement constitute all of the assets, Contracts, Required Permits, rights and services required for the continued operation of the Evamist Business by the Acquiror as conducted by the Seller during the past twelve (12) months. (c) Each item of equipment which is a Purchased Asset (other than equipment set forth on Schedule 6.14(c) of the Seller Disclosure Schedule) is in good operating condition for the purposes for which it is currently being used, subject to ordinary wear and tear, is free from any material defect and has been maintained in all material respects in accordance with generally accepted industry practice. (d) The Seller has not experienced any out-of-stock or back-order situation with respect to the Evamist Business (e) The Seller does not own or control any Evamist Product Improvements, and has not granted to any third party or enabled any third party to make any Evamist Product Improvements.

  • Condition and Sufficiency of Assets The buildings, plants, structures, and equipment of the Acquired Companies are structurally sound, are in good operating condition and repair, and are adequate for the uses to which they are being put, and none of such buildings, plants, structures, or equipment is in need of maintenance or repairs except for ordinary, routine maintenance and repairs that are not material in nature or cost. The building, plants, structures, and equipment of the Acquired Companies are sufficient for the continued conduct of the Acquired Companies' businesses after the Closing in substantially the same manner as conducted prior to the Closing.

Except as may be affected by bankruptcy, insolvency, reorganization, moratorium and other similar laws relating to or affecting creditors’ rights generally or general equitable principles, (i) each Lease is the legal, valid and binding obligation of the Subject Company party thereto and, to the Knowledge of the Sellers, each other party to such Lease and (ii) each Lease is enforceable against such Subject Company and, to the Knowledge of the Sellers, each other party to such Lease. No Subject Company owns any real property. (b) Except as set forth in Section 2.12(a) of the Disclosure Letter, the Subject Companies own and have (and as of the Closing, shall own and have) good, valid and marketable title to or, in the case of leased property, good and valid leasehold interests in, or otherwise have (and as of the Closing, shall have) full or sufficient and legally enforceable rights to use, all of the properties, assets and rights (tangible or intangible, and real, personal or mixed) used or held for use in connection with, necessary for the conduct of, or otherwise material to the operations of, the Business as it is conducted as of the date hereof and as it will be conducted immediately prior to the Closing, in each case free and clear of any Lien other than Permitted Liens, except for any failure to have any such title, interest or right that would not, individually or in the aggregate, be Material to a Reasonable Investor. The Subject Companies have maintained in all material respects all tangible assets in good repair, working order and operating condition, subject only to ordinary wear and tear, except for any failure to be in good repair, working order or operating condition that would not, individually or in the aggregate, be Material to a Reasonable Investor.
