Property; Form of Deed. At Closing, Seller shall convey to Buyer all of Seller’s right, title and interest in and to the real property and land together with the buildings, improvements, structures and fixtures erected thereon located at 30 Xxxxxxx Xxxxxxxxx, Taunton, Massachusetts, as more particularly described in Exhibit A-2 to the Agreement. Accordingly, at Closing, Seller shall convey title to the Property to Buyer by delivery of the Deed in the form attached hereto as Exhibit B.

  • Project Description The Project Description may be changed from time to time by, or with the consent of, the Company provided that any such change shall also be filed with the Issuer and provided further that no change in the Project Description shall materially change the function of the Project Facilities unless the Trustee shall have received (i) an Engineer's certificate that such changes will not impair the significance or character of the Project Facilities as Pollution Control Facilities and (ii) an Opinion of Bond Counsel or ruling of the Internal Revenue Service to the effect that such amendment will not adversely affect the exclusion of interest on the Bonds from gross income for federal income tax purposes.

  • Escrow Arrangements; Form of Payment Upon execution hereof by Buyer(s) and pending the Closing, the aggregate proceeds of the sale of the Secured Debentures to Buyer(s) pursuant hereto shall be deposited in a non-interest bearing escrow account with Xxxxx X.
