Common use of Property Information and Confidentiality Clause in Contracts

Property Information and Confidentiality. The Purchaser agrees that, prior to the Closing, all Property Information shall be kept strictly confidential and shall not, without the prior consent of the Seller, be disclosed by the Purchaser or the Purchaser's Representatives, in any manner whatsoever, in whole or in part, and will not be used by the Purchaser or the Purchaser's Representatives, directly or indirectly, for any purpose other than evaluating the Property. Moreover, the Purchaser agrees that, prior to the Closing, the Property Information will be transmitted only to the Purchaser's Representatives (i) who need to know the Property Information for the purpose of evaluating the Property, and who are informed by the Purchaser of the confidential nature of the Property Information and (ii) who agree to be bound by the terms of this Section 17 and Section 6.3. The provisions of this Section 17 shall in no event apply to Property Information which is a matter of public record and shall not prevent the Purchaser from complying with Laws, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements.

The Purchaser Buyer agrees that, prior to the Closing, all Property Information information furnished by Seller to Buyer or discovered by Buyer during the Inspection Period shall be kept strictly confidential and shall not, without the prior written consent of the Seller, be disclosed by the Purchaser Buyer or the PurchaserBuyer's Representativesrepresentatives, in any manner whatsoever, in whole or in part, and will not be used by the Purchaser Buyer or the PurchaserBuyer's Representativesrepresentatives, directly or indirectly, for any purpose other than evaluating the PropertyProperty for purchase. Moreover, the Purchaser Buyer agrees that, prior to the Closing, the Property Information such information will be transmitted only to the PurchaserBuyer's Representatives representatives (i) who need to know the Property Information such information for the purpose of evaluating the Property, and who are informed by the Purchaser Buyer of the confidential nature of the Property Information such information, and (ii) who agree to be bound by the terms of this Section 17 and Section 6.316.14. The provisions of this Section 17 16.14 shall in no event apply to Property Information information which is a matter of public record and shall not prevent the Purchaser Buyer from complying with Lawsapplicable laws, including, without limitation, governmental regulatory, regulatory disclosure, tax and reporting requirements. The provisions of this Section 16.14 shall survive the Closing or any termination of this Agreement.

The provisions of this Section 17 23(a) shall in no event apply to Property Information which is a matter of public record and shall not prevent the Purchaser from complying with Laws, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements. Purchaser and Seller acknowledge that the duties of Manager with respect to Property Information are separately governed by the Management Agreement.

The provisions of this Section 17 24 shall in no event apply to Property Information which is a matter of public record and shall not prevent the Purchaser from complying with LawsLaws or subpoenas or order of any court, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements.

The provisions of this Section 17 11(A) shall in no event apply to Property Information which is a matter of public record and shall not prevent the Purchaser from complying with Lawslaws, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements.
