Property Information Package. Upon request by Owner from time to time, Manager shall assist Owner in preparing a property information package for the Property, to be used by Owner for any purpose including, but not limited to, the sale of the Property. The property information package shall consist of those items set forth on Exhibit D attached hereto requested by Owner.

Property Information Package. Lessee has furnished to the Agent a schedule describing the Land and all existing Improvements thereon and thereto to be purchased by the Lessors and leased by the Lessors to Lessee pursuant to Section 4 hereof and specifically including all of the items set forth on Exhibit N hereto (the "PROPERTY INFORMATION PACKAGE"); and all information contained in the Property Information Package is true and complete.

Property Information Package. Your purchase of the Membership Interest shall be subject to the terms and conditions of this Agreement, and the other portions of the Property Information Package, with any changes to Membership Interest terms (as well as an investor’s accrual date) to be finally recorded in updating notifications and a revised Summary of Terms that will be posted to your “dashboard” relating to your registered account on the RealtyShares Marketplace. Certain risk factors relating to any Purchase are set forth in the Memorandum (which you hereby acknowledge as having read and understood). If your subscription is accepted by the Company, you agree to comply fully with the terms of this Agreement, the operating agreement of the Company, and will have acknowledged all other materials in the Property Information Package as updated at the time of such acceptance. You further agree to execute any other necessary documents or instruments reasonably required by the Company in connection with the acceptance of your Subscription.

  • Due Diligence Review; Information The Company shall make available, during normal business hours, for inspection and review by the Investors, advisors to and representatives of the Investors (who may or may not be affiliated with the Investors and who are reasonably acceptable to the Company), all financial and other records, all SEC Filings (as defined in the Purchase Agreement) and other filings with the SEC, and all other corporate documents and properties of the Company as may be reasonably necessary for the purpose of such review, and cause the Company’s officers, directors and employees, within a reasonable time period, to supply all such information reasonably requested by the Investors or any such representative, advisor or underwriter in connection with such Registration Statement (including, without limitation, in response to all questions and other inquiries reasonably made or submitted by any of them), prior to and from time to time after the filing and effectiveness of the Registration Statement for the sole purpose of enabling the Investors and such representatives, advisors and underwriters and their respective accountants and attorneys to conduct initial and ongoing due diligence with respect to the Company and the accuracy of such Registration Statement. The Company shall not disclose material nonpublic information to the Investors, or to advisors to or representatives of the Investors, unless prior to disclosure of such information the Company identifies such information as being material nonpublic information and provides the Investors, such advisors and representatives with the opportunity to accept or refuse to accept such material nonpublic information for review and any Investor wishing to obtain such information enters into an appropriate confidentiality agreement with the Company with respect thereto.

  • Diligence Materials The Company has provided to the Representative and Representative Counsel all materials required or necessary to respond in all material respects to the diligence request submitted to the Company or Company Counsel by the Representative.

  • Environmental Report Lender shall have received an Environmental Report (not more than six months old) with respect to the Property that discloses no material environmental contingencies with respect to the Property.

  • Environmental Reports Lender shall have received an environmental report in respect of the Property, in each case reasonably satisfactory to Lender.

  • Copies of Documents Relating to Title Exceptions Copies of all recorded documents listed as exceptions to title or otherwise referred to in the Additional Mortgage Policy or title report delivered pursuant to clause (iv) or (v) above;
