Proprietary Agreement. This Agreement, and Executive’s employment hereunder, is contingent upon Executive’s execution of the Proprietary Agreement, effective contemporaneously with the execution of this Agreement. The Proprietary Agreement survives the termination of this Agreement, the Employment Term and/or Executive’s employment with the Company.
Proprietary Agreement. You hereby agree and acknowledge that you are subject to the terms and conditions of the Proprietary Agreement, and that the provisions of the Proprietary Agreement shall survive expiration or termination of this Agreement in accordance with the terms thereof.
Proprietary Agreement. Your acceptance of this Agreement confirms that the terms of the Property Information and Inventions Agreement you previously signed with Xxxxxx dated July 28, 2020 (the “PIIA”) still apply.
Proprietary Agreement. Executive agrees to execute, or has previously executed, the Company’s standard form of Proprietary Information and Arbitration Agreement (the “Proprietary Agreement”) and agrees to comply with the obligations thereunder during and after his employment with the Company as set forth therein, including but not limited to the non-solicitation and confidentiality covenants in Sections 2 and 8 thereof; provided that Executive agrees to comply with the non-solicitation covenant in Section 8 of the Proprietary Agreement for not less than the Severance Period.
Proprietary Agreement. A) All drawings, specifications, technical information and electronic definition used in conjunction with purchase order are considered confidential ad proprietary to Alard and its customers.
B) Unauthorized reproduction of media is not permitted in any form other than that intended to produce product and/or services directly associated with purchase order.
Proprietary Agreement. Employee shall sign a Proprietary Information --------------------- Agreement (the "Proprietary Agreement") in the form attached hereto as Exhibit --------------------- -------
A. Employee hereby agrees to continue to abide by the terms of the Proprietary Agreement and further agrees that the provisions of the Proprietary Agreement shall survive any termination of this Agreement or of Employee's employment relationship with the Company.
Proprietary Agreement. The foregoing confidentiality obligations shall also apply to the contents of this Agreement and the JV Agreement,
Proprietary Agreement. All of the Company's employees have executed a confidentiality agreement in the form attached hereto as Exhibit 2.8. The Company, after reasonable investigation, is not aware that any of its employees is in violation thereof.
Proprietary Agreement. Consultant shall sign, or has signed, a Proprietary Information Agreement for Consultant substantially in the form attached to this Agreement as Exhibit C (the "Proprietary Agreement"), prior to or on the date on which Consultant's consulting relationship with the Company commences. Conflicts with this Agreement. Consultant represents and warrants that neither Consultant nor any of Consultant's partners, employees or agents is under any pre-existing obligation in conflict or in any way inconsistent with the provisions of this Agreement. Consultant warrants that Consultant has the right to disclose or use all ideas, processes, techniques and other information, if any, which Consultant has gained from third parties, and which Consultant discloses to the Company in the course of performance of this Agreement, without liability to such third parties. Consultant represents and warrants that Consultant has not granted any rights or licenses to any intellectual property or technology that would conflict with Consultant's obligations under this Agreement. Consultant will not knowingly infringe upon any copyright, patent, trade secret or other property right of any former client, employer or third party in the performance of the services required by this Agreement.
Proprietary Agreement. Like all Aurora employees, you will be required to sign Xxxxxx’s standard Proprietary Information and Inventions Agreement (“PIIA”) prior to starting employment at Aurora. A copy of the PIIA is attached to this offer letter.
