Common use of Protection of Documents Clause in Contracts

Protection of Documents. All material documents, records, software and files, in any media of whatever kind and description, relating to the business of the Company and its Affiliates, and any copies, in whole or in part, thereof (the “Documents”), whether or not prepared by the Employee shall be the sole and exclusive property of the Company. The Employee agrees to safeguard all Documents and, at the time the Employee’s employment terminates or at such earlier time or times as the Board or its designee may specify, Employee agrees to surrender all Documents in Employee’s possession or control to the Company.
