Common use of Protection of Service and Property Clause in Contracts

Protection of Service and Property. 12.20.1 Both Parties shall exercise reasonable care to prevent harm or damage to the other Party, its employees, agents or Customers, or their property. Both Parties, their employees, agents, and representatives agree to take reasonable and prudent steps to ensure the adequate protection of the other Party's property and services, including: 12.20.2 SBC-AMERITECH and CLEC shall restrict access to CLEC equipment, support equipment, systems, tools and data, or spaces which contain or house CLEC equipment enclosures, to CLEC employees and other authorized non-CLEC personnel to the extent necessary to perform their specific job function. 12.20.3 CLEC shall comply at all times with security and safety procedures and existing requirements that are defined written policies and being used by SBC- AMERITECH for its employees and contractors. These procedures will be communicated to CLEC. 12.20.4 SBC-AMERITECH shall allow CLEC to inspect or observe spaces which house or contain CLEC equipment or equipment enclosures that are physically collocated on SBC-AMERITECH premises 24 hours a day 7 days a week. SBC- AMERITECH will furnish CLEC with keys, entry codes, lock combinations, and other materials or information which may be needed to gain access to any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection or observation spaces where CLEC has its equipment virtually collocated subject to Section 12.17.2 and Article XX and, in the case of Virtual Collocation, payment by CLEC of the cost of SBC-AMERITECH escorts. 12.20.5 For Physical Collocation, SBC-AMERITECH shall furnish to CLEC a current written list of SBC-AMERITECH's employees who SBC-AMERITECH authorizes to enter CLEC's Physical Collocation space, with samples of the identifying credential to be carried by such persons. 12.20.6 SBC-AMERITECH shall secure external access to the Physical Collocation space on its Premises in the same or equivalent manner that SBC-AMERITECH secures external access to spaces that house SBC-AMERITECH's equipment. 12.20.7 For Physical Collocation, SBC-AMERITECH shall limit the keys used in its keying systems for CLEC's specific Physical Collocation space which contain or house CLEC equipment or equipment enclosures to its employees and representatives to emergency access only. CLEC shall further have the right, at its expense, to have locks changed where deemed necessary for the protection and security of such spaces, provided that CLEC shall immediately provide SBC-AMERITECH with such new keys. 12.20.8 SBC-AMERITECH shall use its existing back-up and recovery plan in accordance with its standard policies for the specific Central Office.

SBC- AMERITECH will and CBT shall furnish CLEC Sprint with keys, entry codes, lock combinations, and other materials or information which that may be needed to gain access to entry into any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection or observation spaces where CLEC has its equipment virtually collocated Sprint space, subject to Section 12.17.2 and Article XX andXX, in and (ii) for Sprint=s Virtual Collocated space, access during the case applicable Premises= Normal Business Hours to inspect or observe Sprint equipment. Sprint acknowledges that CBT may require Sprint=s representative(s) to be escorted during such inspections/observations of Virtual Collocation, payment by CLEC of Collocated space. SBC- AMERITECH will and CBT shall furnish CLEC ICG with keys, entry codes, lock combinations, and other materials or information which that may be needed to gain access to entry into any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection or observation spaces where CLEC has its equipment virtually collocated ICG space, subject to Section 12.17.2 and Article XX andXX, in and (ii) for ICG’s Virtual Collocated space, access during the case applicable Premises’ Normal Business Hours to inspect or observe ICG equipment. ICG acknowledges that CBT may require ICG’s representative(s) to be escorted during such inspections/observations of Virtual Collocation, payment by CLEC of Collocated space. Both Parties, their employees, agents, and representatives agree to take reasonable and prudent steps to ensure the adequate protection of the other Party's property and services, including: 12.20.2 SBC-AMERITECH 12.17.1 Ameritech and CLEC Requesting Carrier shall restrict access to CLEC Requesting Carrier equipment, support equipment, systems, tools and data, or spaces which contain or house CLEC Requesting Carrier equipment enclosures, to CLEC Requesting Carrier employees and other authorized non-CLEC Requesting Carrier personnel to the extent necessary to perform their specific job function. 12.20.3 CLEC 12.17.2 Requesting Carrier shall comply at all times with security and safety procedures and existing requirements that are defined written policies by Ameritech and being used by SBC- AMERITECH for its employees and contractors. These procedures will be communicated to CLECRequesting Carrier. 12.20.4 SBC-AMERITECH 12.17.3 Ameritech shall allow CLEC Requesting Carrier periodically to inspect or observe spaces which house or contain CLEC Requesting Carrier equipment or equipment enclosures that are physically collocated on SBC-AMERITECH premises 24 hours a day 7 days a week. SBC- AMERITECH will and furnish CLEC Requesting Carrier with keys, entry codes, lock combinations, and other materials or information which may be needed to gain access to entry into any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection or observation spaces where CLEC has its equipment virtually collocated Requesting Carrier space, subject to Section 12.17.2 and Article XX and, in the case of Virtual Collocation, payment by CLEC Requesting Carrier of the cost of SBC-AMERITECH Ameritech escorts. 12.20.5 12.17.4 For Physical Collocation, SBC-AMERITECH Ameritech shall furnish to CLEC Requesting Carrier a current written list of SBC-AMERITECHAmeritech's employees who SBC-AMERITECH Ameritech authorizes to enter CLECRequesting Carrier's Physical Collocation space, with samples of the identifying credential to be carried by such persons. 12.20.6 SBC-AMERITECH 12.17.5 Ameritech shall secure external access to the Physical Collocation space on its Premises in the same or equivalent manner that SBC-AMERITECH Ameritech secures external access to spaces that house SBC-AMERITECHAmeritech's equipment. 12.20.7 For Physical Collocation, SBC-AMERITECH shall limit the keys used in its keying systems for CLEC's specific Physical Collocation space which contain or house CLEC equipment or equipment enclosures to its employees and representatives to emergency access only. CLEC shall further have the right, at its expense, to have locks changed where deemed necessary for the protection and security of such spaces, provided that CLEC shall immediately provide SBC-AMERITECH with such new keys. 12.20.8 SBC-AMERITECH shall use its existing back-up and recovery plan in accordance with its standard policies for the specific Central Office.

Both Parties, their employees, agents, employees and representatives agents agree to take reasonable and prudent steps to ensure the adequate protection of the other Party's property and services, including: 12.20.2 SBC-AMERITECH 12.18.1 CBT and CLEC TELIGENT shall restrict access to CLEC TELIGENT equipment, support equipment, systems, tools and data, or spaces which that contain or house CLEC TELIGENT equipment enclosures, enclosures to CLEC TELIGENT employees and other authorized non-CLEC TELIGENT personnel to the extent necessary to perform their specific job functionfunctions. 12.20.3 CLEC 12.18.2 TELIGENT shall comply at all times with reasonable security and safety procedures and existing requirements that are defined written policies established by CBT and being used by SBC- AMERITECH for its employees and contractors. These procedures will be communicated to CLECTELIGENT. 12.20.4 SBC-AMERITECH 12.18.3 CBT shall allow CLEC TELIGENT (i) for TELIGENT=s Physical Collocation spaces, seven (7)-day, twenty-four (24)-hour access to inspect or observe spaces which that house or contain CLEC TELIGENT equipment or equipment enclosures that are physically collocated on SBC-AMERITECH premises 24 hours a day 7 days a week. SBC- AMERITECH will and CBT shall furnish CLEC TELIGENT with keys, entry codes, lock combinations, and other materials or information which that may be needed to gain access to entry into any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection or observation spaces where CLEC has its equipment virtually collocated TELIGENT space, subject to Section 12.17.2 12.18.2 and Article XX andXX, in and (ii) for TELIGENT=s Virtual Collocated space, access during the case applicable Premises= Normal Business Hours to inspect or observe TELIGENT equipment. TELIGENT acknowledges that CBT may require TELIGENT=s representative(s) to be escorted during such inspections/observations of Virtual Collocation, payment by CLEC of Collocated space. TELIGENT shall pay the cost of SBC-AMERITECH such CBT escorts. 12.20.5 12.18.4 For Physical Collocation, SBC-AMERITECH CBT shall furnish to CLEC TELIGENT a current written list of SBC-AMERITECHCBT's employees who SBC-AMERITECH CBT authorizes to enter CLECTELIGENT's Physical Collocation space, with samples of the identifying credential to be carried by such persons. 12.20.6 SBC-AMERITECH 12.18.5 CBT shall secure external access to the Physical Collocation space on its Premises in the same or equivalent manner that SBC-AMERITECH CBT secures external access to spaces that house SBC-AMERITECHCBT's equipment. 12.20.7 12.18.6 For Physical Collocation, SBC-AMERITECH CBT shall limit the keys used in its keying systems for CLECTELIGENT's specific Physical Collocation space which contain or house CLEC TELIGENT equipment or equipment enclosures to its employees and representatives to for emergency access only. CLEC TELIGENT shall further have the right, at its expense, to have locks changed where deemed necessary for the protection and security of such spaces, provided that CLEC TELIGENT shall immediately provide SBC-AMERITECH CBT with such new keys. 12.20.8 SBC-AMERITECH shall use its existing back-up and recovery plan in accordance with its standard policies for the specific Central Office.

SBC- AMERITECH will and CBT shall furnish CLEC Adelphia with keys, entry codes, lock combinations, and other materials or information which that may be needed to gain access to entry into any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection or observation spaces where CLEC has its equipment virtually collocated Adelphia space, subject to Section 12.17.2 and Article XX andXX, in and (ii) for Xxxxxxxx’s Virtual Collocated space, access during the case applicable Premises’ Normal Business Hours to inspect or observe Adelphia equipment. Xxxxxxxx acknowledges that CBT may require Xxxxxxxx’s representative(s) to be escorted during such inspections/observations of Virtual Collocation, payment by CLEC of Collocated space. These procedures will be communicated to CLECSBCT, consistent with Section 12.16.3. 12.20.4 SBC12.8.2 CBT shall limit access, without escort, to its Central Offices to only those individuals to whom (i) CBT has provided keys, or (ii) CBT has provided the access code for card readers where card readers are the sole means of entry into such Central Offices, as the case may be. 12.8.3 If SBCT elects to enclose the Physical Collocation space, access to SBCT’s Collocation Space shall be limited by CBT and SBCT (i) to employees, agents, contractors, subcontractors, or other representatives of SBCT, (ii) if applicable, to a SBCT sub-AMERITECH lessee and such sub-lessee’s employees, agents, contractors, subcontractors or other representatives, and (iii) to CBT employees, agents, and contractors to the extent they have a business need and the right to access SBCT’s Physical Collocation space pursuant to this Agreement. 12.8.4 If SBCT elects Cageless Collocation and the space is in a separate collocation area within the CBT Premises, access to the area in which SBCT’s Physical Collocation space is located shall be limited by CBT and SBCT (i) to employees, agents, contractors, subcontractors, or other representatives of SBCT and any other Telecommunications Carrier (including, if applicable, any sub-lessee of SBCT), its agents, contractors, subcontractors or other representatives of such telecommunications carrier, collocating equipment in the same common collocation area as SBCT, and (ii) to CBT employees, agents, and contractors to the extent they have a business need and the right to access SBCT’s Collocation Space pursuant to this Agreement. 12.8.5 If SBCT elects Cageless Collocation and the space is not restricted to a separate collocation area, within a CBT Premises, access to the area in which SBCT’s Physical Collocation space is located shall not be limited by CBT beyond the customary security arrangements that CBT maintains with respect to its own employees, agents, contractors, subcontractors or other representatives. 12.8.6 CBT shall allow CLEC SBCT (i) for SBCT’s Physical Collocation spaces, seven (7)‑day, twenty‑four (24)‑hour access to inspect or observe spaces which that house or contain CLEC SBCT equipment or equipment enclosures that are physically collocated on SBC-AMERITECH premises 24 hours a day 7 days a week. SBC- AMERITECH will and CBT shall furnish CLEC SBCT with keys, entry codes, lock combinations, and other materials or information which that may be needed to gain entry into any secured SBCT space, without requiring either a security escort of any kind or delaying entry into the Premises and (ii) for SBCT’s Virtual Collocated space, access during the applicable Premises’ Normal Business Hours to any Physically Collocated CLEC equipment within the secured SBC-AMERITECH facility. SBC-AMERITECH shall allow CLEC reasonable periodic inspection inspect or observation spaces where CLEC has its equipment virtually collocated subject to Section 12.17.2 and Article XX and, in the case of Virtual Collocation, payment by CLEC of the cost of SBC-AMERITECH escortsobserve SBCT equipment. 12.20.5 For Physical Collocation, SBC-AMERITECH shall furnish to CLEC a current written list of SBC-AMERITECH's employees who SBC-AMERITECH authorizes to enter CLEC's Physical Collocation space, with samples of the identifying credential to be carried by such persons. 12.20.6 SBC-AMERITECH 12.8.7 CBT shall secure external access to the Physical Collocation space on its Premises in the same or equivalent manner that SBC-AMERITECH CBT secures external access to spaces that house SBC-AMERITECHCBT's equipment. 12.20.7 For Physical Collocation, SBC-AMERITECH shall limit the keys used in its keying systems for CLEC's specific Physical Collocation space which contain or house CLEC equipment or equipment enclosures to its employees and representatives to emergency access only. CLEC shall further have the right, at its expense, to have locks changed where deemed necessary for the protection and security of such spaces, provided that CLEC shall immediately provide SBC-AMERITECH with such new keys. 12.20.8 SBC-AMERITECH CBT shall use its existing back-up and recovery plan best effort to respond in accordance a timely manner to reported problems with its standard policies for the specific Central Officekey cards or other access devices provided to SBCT.
