Provisional Certificate. 12.2.1 Subject to the provisions of Clause 12.2.5, upon completion of all Works forming part of the Project Highway, save and except the Works for which Time Extension has been granted under Clause 10.5, the Authority’s Engineer shall, at the request of the Contractor, issue a provisional certificate of completion substantially in the form set forth in Schedule-L (the “Provisional Certificate”) if the Tests for and in respect of the completed Works are successful. The Provisional Certificate shall have appended thereto a list of outstanding items of work (the “Punch List”) that need to be completed in accordance with the provisions of this Agreement. The Contractor undertakes to complete the minor outstanding items of works in respect of those Sections of the Project Highway for which the Provisional Certificate has been issued, within a period of 30 (thirty) days of the date of Provisional Certificate, and those parts of the Works in respect of which Time Extension has been granted, within the extended period thereof. For the avoidance of doubt, the Parties agree that the Punch List shall include all Works for which Time Extension has been granted and shall also include any minor outstanding items of work forming part of the completed Sections if such works do not materially affect the use of the completed Sections for their intended purpose. For the avoidance of doubt and by way of illustration, the Parties agree that if the Contract Price specified in Clause 19.1.1 is Rs. 105 cr. (Rs. one hundred and five crore) and the works withdrawn under Clause 8.3.3 have a value of Rs. 5 cr. (Rs. five crore), a Provisional Certificate shall not be issued until valid claims for payment of an amount of Rs. 80 cr. (Rs. eighty crore) have been submitted by the Contractor in accordance with the provisions of this Agreement. It is further agreed that all price adjustments made in pursuance of Clause 19.10 shall not be reckoned for computation of the claims for payments referred to in this Clause 12.2.5.

The Parties further agree that Provisional Certificate shall not be issued remaining incomplete if the completed Works can not be safely and reliably placed delay in service of the Users thereof.

For the avoidance of doubt and by way of illustration, the Punch List may include roadside drains, fencing, tree plantation, rest areas, Project Facilities, turfing on embankment slopes, pointing of masonry works, stone pitching, bus shelters and truck lay-byes.
14.3.2 The Parties hereto expressly agree that if the Contract Price specified in Clause 19.1.1 is Rs. 105 cr. (Rs. one hundred and five crore) and the works withdrawn under Clause 8.3.3 have a value of Rs. 5 cr. (Rs. five crore), a Provisional Certificate shall not under this Clause 14.3 may, upon request of the Concessionaire to this effect, be issued until valid claims for payment operating part of the Project Highway, if at least 85% (eighty five per cent) of the total length of the Project Highway has been completed. Upon issue of such Provisional Certificate, the provisions of Article 15 shall apply to such completed part, and the rights and obligations of the Concessionaire for and in respect of such completed part of the Project Highway shall be construed accordingly. The Parties further agree that upon completion of every 5% (five per cent) of the total length of the Project Highway at any time after issuance of a Provisional Certificate under this Clause 14.3, the Concessionaire may request for issue of a Provisional Certificate for and in respect of such 5% (five per cent) or more and in such an amount of Rs. 80 cr. (Rs. eighty crore) have been submitted by the Contractor in accordance with event, the provisions of this Agreement. 14.3.2 The Parties hereto expressly agree that a Provisional Certificate under this Article 14.3 may, upon request of the Concessionaire to this effect, be issued for operating part of the Mandatory Development Obligations, if at least 85% (eighty five per cent) that need to be completed in accordance with of Project Cost estimated towards the Mandatory Development Obligations have been incurred and relevant Works completed. 12.2.4 Notwithstanding anything 14.4.2 Upon completion of all Punch List items, the Independent Engineer shall issue the Completion Certificate. Failure of the Concessionaire to complete all the Punch List items within the time set forth in Clause 14.4.1 for any reason, other than conditions constituting Force Majeure or for reasons solely attributable to the contrary contained in Clause 12.2.3Authority, shall entitle the Authority to terminate this Agreement.
14.4.3 If the Concessionaire fails to complete the Punch List items within said period of 90 days, the Authority may, without prejudice to any other rights or remedy available to it under this Agreement, have such items completed at any time after receiving the risk and costs of the Concessionaire. 12.2.5 No Provisional Certificate shall be issued under the provisions of this Clause 12.2 until the Contractor has submitted valid claims for payment of at least 80% (eighty per cent) of the amount arrived at after reducing the lump sum price specified in Clause 19.1.1 by the amount attributable to works which have been withdrawn under the provisions of Clause 8.3.3. For the avoidance of doubt and by way of illustration, the Parties agree that if the Contract Price specified in Clause 19.1.1 is Rs. 105 cr. The Contractor undertakes to complete the minor outstanding items of works in respect of those Sections of the Project Highway for which Independent Engineer shall not withhold the Provisional Certificate has been issuedfor reason of any work remaining incomplete if the delay in completion thereof is attributable to the Authority.
14.3.2 The Parties hereto expressly agree that a Provisional Certificate under this Article 14.3 may, within a period of 30 (thirty) days upon request of the date of Provisional CertificateConcessionaire to this effect, and those parts of the Works in respect of which Time Extension has been granted, within the extended period thereof. For the avoidance of doubt, the Parties agree that the Punch List shall include all Works be issued for which Time Extension has been granted and shall also include any minor outstanding items of work forming operating part of the Refurbishment and Development of Project Site, if at least 85% (eighty five per cent) of Project Cost estimated towards the Refurbishment and Development of Project Site have been incurred and relevant Works completed Sections if such works do not materially affect the use as per Clause 3.2 of the completed Sections for their intended purposeSchedule 3 of this agreement. The Parties further agree that Provisional Certificate shall not be issued if the completed Works can not be safely and reliably placed in service of the Users thereof.
12.2.2 Upon issue of such Provisional Certificate, the provisions of Articles 14 and 17 Article – 15 shall apply to such completed part.
14.3.3 All items in the Punch List shall be completed parts by the Concessionaire within 90 (ninety) days for items as per Clause 3.2 of Schedule 3 of this agreement and 18 (eighteen) months for items as per Clause 3.3 of Schedule 3 of this agreement, as the case may be, of the Project Highway and the property and ownership date of all such completed Works shall vest in the Authority.
12.2.3 If the Authority’s Engineer determines that the Project Highway or any completed part thereof does not conform to the provisions of this Agreement and cannot be safely and reliably placed in operation, it shall forthwith make a report in this behalf and send copies thereof to the Authority and the Contractor and withhold issuance issue of the Provisional Certificate until the Defects or deficiencies are rectified by the Contractor and Tests are successful in accordance with this Article 12.
12.2.4 Notwithstanding anything for any delay thereafter, other than for reasons solely attributable to the contrary contained in Clause 12.2.3Authority or due to Force Majeure, the Authority may, at any time after receiving a report shall be entitled to recover Damages from the Authority’s Engineer under that Xxxxxx, direct Concessionaire to be calculated and paid for each day of delay at the Authority’s Engineer to issue a Provisional Certificate under Clause 12.2.1 and such direction shall be complied forthwith.

13.2.3 The Concessionaire shall assist the Authority during inspection and Tests to be conducted by the CRS for determining compliance of the Project with Applicable Laws and the provisions of this Agreement. It is further agreed All the items as observed by the CRS for compliance shall be complied promptly by the concessionaire and not latter than the time limit (if any) as indicated by CRS.
13.2.4 The Defects Liability Period for the Project shall commence from the date of issue of the Provisional Certificate.
13.2.5 The Parties hereto expressly agree that all price adjustments made the Authority’s Engineer may, upon request of the Authority to this effect, issue a Provisional Certificate for part of the Project and the provisions of Clauses 13.1 and 13.2 shall apply mutatis mutandis to such Provisional Certificate.
13.2.6 The risk of loss or damage to any Materials, Plant or Works in pursuance of Clause 19.10 the Project or part thereof, as the case may be, and the care and custody thereof shall not be reckoned pass from the Concessionaire to the Authority upon issuance of Provisional Certificate for computation the Project or part thereof until completion of the claims for payments referred to in this Clause 12.2.5punch list items or issuance of CRS sanction.

The Contractor undertakes to complete the minor outstanding items of works in respect of those Sections of the Project Highway Works for which the Provisional Certificate has been issued, within a period of 30 (thirty) days of the date of Provisional Certificate, and those parts of the Works in respect of which Time Extension has been granted, within the extended period thereof. For the avoidance of doubt, the Parties agree that the Punch List shall include all Works for which Time Extension has been granted and shall also include any minor outstanding items of work forming part of the completed Sections if such works do not materially affect the use of the completed Sections for their intended purpose. The Parties further agree that Provisional Certificate shall not be issued if the completed Works can cannot be safely and reliably placed in service of the Users thereof.
12.2.2 Upon issue of Provisional Certificate, the provisions of Articles 14 and 17 shall apply to the completed parts of the Project Highway Works and the property and ownership of all such completed Works shall vest in the AuthorityEmployer.
12.2.3 If the Authority’s Employer‟s Engineer determines that the Project Highway Works or any completed part thereof does not conform to the provisions of this Agreement and cannot be safely and reliably placed in operation, it shall forthwith make a report in this behalf and send copies thereof to the Authority Employer and the Contractor and withhold issuance of the Provisional Certificate until the Defects or deficiencies are rectified by the Contractor and Tests are successful in accordance with this Article 12.
12.2.4 Notwithstanding anything to the contrary contained in Clause 12.2.3, the Authority Employer may, at any time after receiving a report from the Authority’s Employer‟s Engineer under that XxxxxxClause, direct the Authority’s Employer‟s Engineer to issue a Provisional Certificate under Clause 12.2.1 and such direction shall be complied forthwith.
12.2.5 No Provisional Certificate shall be issued under the provisions of this Clause 12.2 until the Contractor has submitted valid claims for payment of at least 80% (eighty per cent) of the amount arrived at after reducing the lump sum price specified in Clause 19.1.1 by the amount attributable to works which have been withdrawn under the provisions of Clause 8.3.3. For the avoidance of doubt and by way of illustration, the Parties agree that if the Contract Price specified in Clause 19.1.1 is Rs. 105 cr. (Rs. one hundred and five crore) and the works withdrawn under Clause 8.3.3 have a value of Rs. 5 cr. (Rs. five crore), a Provisional Certificate shall not be issued until valid claims for payment of an amount of Rs. 80 cr. (Rs. eighty crore) have been submitted by the Contractor in accordance with the provisions of this Agreement. It is further agreed that all price adjustments made in pursuance of Clause 19.10 shall not be reckoned for computation of the claims for payments referred to in this Clause 12.2.5.Clause

Provisional Certificate. 12.2.1 Subject to the provisions of Clause 12.2.5, upon completion of all Works forming part of the Project Highway, save and except the Works for which Time Extension has been granted under Clause 10.5, the Authority’s Engineer shall, at the request of the Contractor, issue a provisional certificate of completion substantially in the form set forth in Schedule-L (the “Provisional Certificate”) if the Tests for and in respect of the completed Works are successful. The Provisional Certificate shall have appended thereto a list of outstanding items of work (the “Punch List”) that need to be completed in accordance with the provisions of this Agreement.
