Provisions in the Event of Involuntary Transfers. In the event of an Involuntary Transfer, the Stockholders and the Company shall not take any action to approve any such involuntary transfer not in accordance with this Section, and the transferor Stockholder (or, if it fails to do so, the Involuntary Transferee) shall forthwith give notice (the "INVOLUNTARY TRANSFER NOTICE") to the Company stating (i) when the involuntary transfer occurred or is to occur, (ii) the circumstances alleged to require such involuntary transfer, (iii) the number and type of securities involved and (iv) the name, address and capacity of the Involuntary Transferee.
