Public Statements and Press Releases. Except as provided for ------------------------------------ hereinbelow, Digital and ViComp shall not from and after the date hereof make, issue or release any public announcement, press release, statement or acknowledgment of the existence of, or reveal publicly the terms, conditions and status of, the transactions provided for herein, without the prior written consent of the other party as to the content and time of release of such statement or announcement; provided, however, that in the case of announcements, statements, acknowledgments or revelations which any party is required by law to make, issue or release, the making, issuing or releasing of any such announcement, statement, acknowledgment or revelation by the party so required to do so by law shall not constitute a breach of this Agreement if such party shall have given, to the extent reasonably possible, not less than one calendar day prior notice to the other party, and shall have attempted, to the extent reasonably possible, to clear such announcement, statement, acknowledgment or revelation with the other party. Each party hereto agrees that it will not unreasonably withhold any such consent or clearance.
Public Statements and Press Releases. The Company shall issue all public statements concerning the work hereunder. Neither Consultant nor his agents, employees or subcontractors shall issue any press releases, publications or other public communications describing or concerning any acknowledged project of the Company or any of the other Southern Entities without the prior written consent of the Company.

The parties hereto covenant and agree that, except as provided for hereinbelow, each will not from and after the date hereof make, issue or release any public announcement, press release, statement or acknowledgment of the existence of, or reveal publicly the terms, conditions and status of, the transactions provided for herein, without the prior written consent of the other party as to the content and time of release of and the media in which such statement or announcement is to be made; PROVIDED, HOWEVER, that in the case of announcements, statements, acknowledgments or revelations which either party is required by law to make, issue or release, the making, issuing or releasing of any such announcement, statement, acknowledgment or revelation by the party so required to do so by law shall not constitute a breach of this Agreement if such party shall have given, to the extent reasonably possible, not less than two (2) calendar days prior notice to the other party, and shall have attempted, to the extent reasonably possible, to clear such announcement, statement, acknowledgment or revelation with the other party. Each party hereto agrees that it will not unreasonably withhold any such consent or clearance.
Public Statements and Press Releases. No Party shall make, issue or release any public announcement, press release, public statement or public acknowledgment of the terms, conditions and status of, the transactions provided for in this Agreement, without the prior written consent of the other Parties as to the content and time of release and the media in which such statement or announcement is to be made; provided, however, that in the case of announcements, statements or acknowledgments or revelation which any Party, in the written opinion of such Party’s counsel, is required by Law or regulations, including those of public stock exchanges on which the securities of such Party or its affiliates are traded, to make, issue or release (a “Legally Required Statement“), the making, issuing or releasing of any such Legally Required Statement shall not constitute a breach of this Agreement if such Party shall have given, to the extent reasonably possible, three days prior notice to the other Party, and shall have attempted, to the extent reasonably possible, to clear such disclosure with the other Party. Each Party agrees that it will not unreasonably withhold or delay any such consent or clearance.
Public Statements and Press Releases. Except as pro vided for ------------------------------------ hereinbelow, VUN and the Selling Shareholders shall not from and after the date hereof make, issue or release any public announcement, press release, statement or acknowledgment of the existence of, or reveal publicly the terms, conditions and status of, the transactions provided for herein, without the prior written consent of VCI as to the content and time of release of such statement or announcement.
Public Statements and Press Releases. Unless otherwise required by Law, the rules and regulations of any stock exchange or quotation services on which such party’s stock is traded or quoted or pursuant to scheduled earnings releases and scheduled analyst conference calls, prior to the Closing Date, no news release or other public announcement pertaining to the transactions contemplated by this Agreement will be made by or on behalf of any party or its affiliates without the prior written approval of the other party (which approval shall not be unreasonably withheld, conditioned or delayed). If in the judgment of either party such a news release or public announcement is required prior to the Closing Date by Law or the rules or regulations of any stock exchange on which such party’s stock is traded, the party intending to make such release or announcement shall to the extent practicable use commercially reasonable efforts to provide prior written notice to the other party of the contents of such release or announcement and to allow the other party reasonable time to comment on such release or announcement in advance of such issuance.

The Parties covenant and agree that, except as provided for below, each will not from the Effective Date make, issue or release any public announcement, press release, statement or acknowledgment of the existence of, or reveal publicly the terms, conditions and status of, the transactions contemplated hereby, without the prior written consent of the other Party as to the content and time of release of and the media in which such statement or announcement is to be made; provided, however, that in the case of announcements, statements, acknowledgments or disclosures which a Party is required by law or regulations to make, issue or release, the making, issuing or releasing of any such announcement, statement, acknowledgment or revelation by the Party so required to do so by law shall not constitute a breach of this Agreement if the Party shall have given, to the extent reasonably possible, not less than […***…] calendar days prior notice to the other Party, and shall have attempted, to the extent reasonably possible, to clear such announcement, statement, acknowledgment or revelation with the other Party. No Party shall use the name of the other Party or any of its Affiliates for advertising or promotional purposes without the prior written consent of such other Party unless required by applicable law or regulation.
Public Statements and Press Releases. Buyer may issue a public announcement of the transactions contemplated by this Agreement. Except as set forth in the immediately preceding sentence, neither the Sellers or STG_331658.1 Dourave, on the one hand, nor Buyer, on the other hand, shall issue or release any public announcement, press release, statement or acknowledgment of the existence of, or the terms, conditions and status of, the transactions provided for herein, without the prior approval of the other as to the content and time of release of and the media in which such statement or announcement is to be made and such parties will use commercially reasonable efforts to consult with one another before making other public statements or responding to any press inquiry with respect to this Agreement or the transactions contemplated hereby, except as may be required by law or any governmental agency. Provided that the other parties receive prompt notice prior to any disclosure, nothing contained herein shall prevent either party at any time from furnishing any information to any governmental agency if required by applicable law nor prevent the Sellers, Dourave or Buyer from issuing any release in accordance with the provisions of Section 8.3 when it believes, based upon advice of counsel, it is legally required to do so.
