Purchase and Sale of the Sellers Shares. On and subject to the ---------------------------------------- terms and conditions of this Agreement, the Buyer agrees to purchase from the Seller, and the Seller agrees to sell to the Buyer, 310,000 Common Shares of the Company, $.001 par value, for the consideration specified below in Section 2 of this Agreement.
Purchase and Sale of the Sellers Shares. The Seller agrees to sell to the Buyers, and the Buyers agree to purchase from the Seller, the Shares for the purchase price described in Section 3 hereof. The Shares shall be allocated among the Buyers as described on SCHEDULE A attached hereto.
Purchase and Sale of the Sellers Shares. Upon the terms and subject to the conditions contained in this Agreement, at the Closing (as hereinafter defined), Seller shall sell to Purchaser, and Purchaser shall purchase from Seller, the Seller's Shares.
Purchase and Sale of the Sellers Shares a) Subject to the terms and conditions of this Agreement, at the Closing (as defined below), the Sellers shall sell, transfer and assign to the Purchaser, and the Purchaser shall purchase from each of the Sellers, all right, title and interest in and to each of the Sellers' Holdings, free and clear of any pledge, lien, hypothecation, encumbrance, charge, claim or other security interest of any kind or character.
Purchase and Sale of the Sellers Shares. At the Closing, and upon the terms outlined in this Agreement, each Seller shall sell, transfer, convey, assign, and deliver to Purchaser such number of Sellers’ Shares set forth below such Seller’s name on the signature page to this Agreement under the caption “Number of Sellers’ Shares,” free and clear from all Liens.
