Purchase and Sale of the Shares and Common Warrants. On the Closing Date, upon the terms and subject to the conditions set forth herein, the Company will issue and sell, and the Investors will purchase, severally and not jointly, for a price per Share and associated Common Warrant of $9.12 (i) the number of Shares set forth opposite the name of such Investor under the heading “Number of Shares to be Purchased” on Exhibit A attached hereto and (ii) a Common Warrant to purchase one share of Common Stock for every one Share purchased at Closing. The Common Warrants shall have an exercise price equal to $10.79 per Common Warrant Share (subject to adjustment as provided therein).
