Purchase and Transfer of the MFP Shares. (a) On the Effective Date the Purchaser will acquire 600 Additional MFP Shares sold on initial issuance in a transaction (which, based upon the representations of the Fund and the Purchaser herein, is exempt from registration under the Securities Act), by payment of the Purchase Price to or upon the order of the Fund by wire transfer payable in same-day funds to an account specified by the Fund.
Purchase and Transfer of the MFP Shares. (a) On the Effective Date the Purchaser will acquire 720 of the MFP Shares in connection with the Reorganization with the issuance of the MFP Shares effected through the Securities Depository.
