Purchase for Own Account; Economic Risk. The Purchaser is acquiring the Subject Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. The Purchaser acknowledges that it (a) can bear the economic risk of its investment in the Subject Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Subject Shares and (c) has independently and without reliance upon the Selling Shareholder, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the transactions contemplated hereunder, except that it has relied upon the Selling Shareholder’s representations, warranties, covenants and agreements in this Agreement.
Purchase for Own Account; Economic Risk. The Investor is acquiring its Purchased Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. The Investor acknowledges that it (a) can bear the economic risk of its investment in the Purchased Shares, and (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Purchased Shares.
Purchase for Own Account; Economic Risk. Puyi is acquiring the Fanhua Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act of 1933, as amended, and the rules and regulations of the SEC promulgated thereunder (the “Securities Act”). Puyi acknowledges that it (a) can bear the economic risk of its investment in the Fanhua Exchange Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Fanhua Exchange Shares and (c) has independently and without reliance upon any of the Fanhua Parties, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the Securities Exchange, except that it has relied upon the Fanhua Parties’ express representations, warranties, covenants and agreements in this Agreement.
Purchase for Own Account; Economic Risk. Each of the Fanhua Parties are acquiring the Puyi Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. Each of the Fanhua Parties acknowledges that it (a) can bear the economic risk of its investment in the Puyi Exchange Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Puyi Exchange Shares and (c) has independently and without reliance upon any of the Puyi Group Companies, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the Securities Exchange, except that it has relied upon Puyi’s express representations, warranties, covenants and agreements in this Agreement.
Purchase for Own Account; Economic Risk. Smart Master is acquiring the Leju Exchange Shares, Jupai Exchange Shares and Enterprise Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. Smart Master acknowledges that it (a) can bear the economic risk of its investment in the Leju Exchange Shares, Jupai Exchange Shares and Enterprise Exchange Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Leju Exchange Shares, Jupai Exchange Shares and Enterprise Exchange Shares and (c) has independently and without reliance upon the Zhou Parties, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the transactions contemplated hereunder.
Purchase for Own Account; Economic Risk. PWM is acquiring the CBPO Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. PWM acknowledges that it (a) can bear the economic risk of its investment in the CBPO Exchange Shares, and (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the CBPO Exchange Shares.
Purchase for Own Account; Economic Risk. The Company is acquiring the Blockchain Alliance Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. The Company acknowledges that it (a) can bear the economic risk of its investment in the Blockchain Alliance Exchange Shares, and (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Blockchain Alliance Exchange Shares.

The Selling Shareholder is acquiring the Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act of 1933, as amended, and the rules and regulations of the SEC promulgated thereunder (the “Securities Act”). The Selling Shareholder acknowledges that it (a) can bear the economic risk of its investment in the Exchange Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Exchange Shares and (c) has independently and without reliance upon the Purchaser, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the transactions contemplated hereunder, except that it has relied upon the Purchaser’s express representations, warranties, covenants and agreements in this Agreement.

Ctrip is acquiring the Baidu Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act of 1933, as amended, and the rules and regulations of the SEC promulgated thereunder (the “Securities Act”). Ctrip acknowledges that it (a) can bear the economic risk of its investment in the Baidu Exchange Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Baidu Exchange Shares and (c) has independently and without reliance upon any of the Baidu Parties and the Qunar Group Companies, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the Share Exchange, except that it has relied upon the Baidu Parties’ express representations, warranties, covenants and agreements in this Agreement.

Baidu is acquiring the Ctrip Exchange Shares for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. Baidu acknowledges that it (a) can bear the economic risk of its investment in the Ctrip Exchange Shares, (b) has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Ctrip Exchange Shares and (c) has independently and without reliance upon any of the Ctrip Group Companies, and based on such information as it has deemed appropriate, made its own analysis and decision to enter into this Agreement and complete the Share Exchange, except that it has relied upon Ctrip’s express representations, warranties, covenants and agreements in this Agreement.
