Purchase of Firm Units. Notwithstanding the immediately preceding sentence, in no event will the shares of Common Stock and the Warrants included in the Firm Units trade separately prior to the Business Day (as defined below) after (i) the Company has filed with the Securities and Exchange Commission (the “Commission”) a Current Report on Form 8-K (the “Initial 8-K”) that includes an audited balance sheet reflecting the Company’s receipt of the proceeds of the Offering and the Unit Private Placement (as defined below) and another Current Report on Form 8-K or an amendment to the Initial 8-K to update financial information with respect to any proceeds the Company has then received from the exercise of the Over-allotment Option (as defined below) if the receipt of such proceeds is not reflected in the Initial 8-K, and (ii) the Company has filed with the Commission a Current Report on Form 8-K and issued a press release announcing when such separate trading will begin. Each Firm Unit consists of one share of the Company’s common stock, par value $.0001 per share (“Common Stock”), and one Warrant (“Warrants”). Each of the shares of Common Stock and Warrants included in the Firm Units will not be separately transferable until 90 days after the effective date (“Effective Date”) of the Registration Statement (as defined in Section 2.1.1 hereof) unless Xxxxxxx informs the Company of its decision to allow earlier separate trading of the shares of Common Stock and Warrants, but in no event will Xxxxxxx allow any separate trading until the preparation of an audited balance sheet of the Company reflecting receipt by the Company of the proceeds of the Offering and the filing of a Form 8-K by the Company which includes such balance sheet. Each Warrant entitles its holder to exercise it to purchase one share of Common Stock for $5.50 during the period commencing on the later of (i) one year from the Effective Date of the Registration Statement and (ii) the consummation by the Company of its “Business Combination” and terminating on the 4-year anniversary of the Effective Date. “Business Combination” shall mean any merger, capital stock exchange, asset acquisition or other similar business combination consummated by the Company with an operating business as described more fully in the Registration Statement.
