Purchaser - Public Sector Entity. The CSA Holder acknowledges and agrees that: if a CP is issued by a Public Sector Entity, the Public Sector Entity will have the option of modifying the terms and conditions set out in Appendix C to the extent necessary to address the Public Sector Entity’s specific travel reimbursement and payment of account policies, insurance, indemnification, limitation of liability, privacy, confidentiality, and any governmental authority directives binding the Public Sector Entity; Despite subsection (a) above, a Public Sector Entity may not modify Schedule G of the terms and conditions set out in Appendix C. further to subsection (a) above, any revision to the terms and conditions set out in Appendix C will be requested by setting out such revisions in the applicable CP; if the CSA Holder accepts all terms and conditions as modified in the CP in accordance with subparagraphs (a) and (c) above, the CSA Holder may submit a Quotation in response to the CP; if the CSA Holder does not accept all terms and conditions as modified in the CP as described in subparagraphs (a) and (c) above, the CSA Holder will not submit a Quotation in response to the CP; if the CSA Holder submits a Quotation in response to a CP that has modified terms and conditions as described in subparagraphs (a) and (c) above, as reflected in the CP, the CSA Holder will be deemed to have accepted the revised terms and conditions to Appendix C; each Public Sector Entity is solely responsible for complying with its obligations, including with respect to payment, in Agreement(s) for Services between it and the Contractor; and nothing in this CSA OF or any resulting Agreement for Services will impose any liability whatsoever on the Province in respect of any obligation of a Public Sector Entity to the Contractor, and the Province disclaims any and all liability in respect of any Agreement for Services made by a Public Sector Entity.
