Purchaser’s Curtailment Response Clause Samples
The Purchaser’s Curtailment Response clause defines the obligations and procedures the purchaser must follow when responding to a curtailment event, such as a reduction in the delivery or acceptance of goods or services. Typically, this clause outlines the timeframe in which the purchaser must notify the seller of their intended actions, the method of communication, and any required documentation or justification for the response. Its core practical function is to ensure clear communication and minimize disputes during curtailment events by establishing a structured process for the purchaser’s response, thereby allocating risk and responsibility between the parties.
Purchaser’s Curtailment Response. Purchaser shall notify Seller by facsimile of its decision to either to physically curtail or to purchase Replacement Power for all or any portion of its load within one (1) hour after Seller provides Seller’s Curtailment Notice or with Purchaser’s Curtailment Notice. For example, if Seller provides Seller’s Curtailment Notice to Purchaser by 1200 MPT, Purchaser must provide Purchaser’s Curtailment Response to Seller by 1300 MPT. Purchaser’s Curtailment Response shall specify the portion of its load for each Curtailment Hour for which Purchaser elects to buy Replacement Power and the portion that is to be physically curtailed. The Parties may agree to other notice provisions.
