Railroad Crossings Improvements Cap. The Parties acknowledge that, after reasonable inquiry as to the Railroad Crossings Scope with the BNSF and the MNDOT, the cost of the Railroad Crossings Improvements is reasonably expected not to exceed $1,500,000. Therefore, the Parties agree that the Developer’s obligation as to the installation and construction of the Railroad Crossings Improvements will be limited to $1,500,000 (“Railroad Crossings Improvements Cap”); provided, however, that the Developer will provide the County with a final quote of the Railroad Crossings Improvements within 8 (eight) months of the Effective Date and, the Railroad Crossings Improvements Cap shall be adjusted accordingly to 125% of the final quote (“Railroad Crossings Improvements Cap Adjustment”). For the avoidance of doubt, the Railroad Crossings Improvements Cap Adjustment can increase or decrease.
