Ranking of Shares. Shares allotted or transferred to a Participant under the Plan will rank equally in all respects with Shares of the same class. However, they will not be entitled to any rights attaching to Shares by reference to a record date falling before the date of exercise of the Option.
Ranking of Shares. Shares allotted on the exercise of the Option shall rank equally in all respects with the Shares of the same class for the time being in issue save as regards any rights attaching to such Shares by reference to a record date prior to the date of allotment, and in the case of a transfer of existing Shares the Optionholder shall not acquire any rights attaching to such Shares by reference to a record date prior to the date of such transfer.
Ranking of Shares. The expressions "in priority to", "on a parity with", "ranking equally with", "ranking prior to" and "ranking junior to" and similar expressions refer to the order of priority only in payment of dividends or in the distribution of assets in the event of any liquidation, dissolution of winding-up of Noranda, whether voluntary or involuntary, or any other distribution of the assets of Noranda for the purpose of winding-up its affairs.
Ranking of Shares. Shares issued on the conversion of Convertible Securities will rank in all respects equally with all other Shares on issue.
Ranking of Shares. Notwithstanding anything herein contained to the contrary, no offer for the purchase of the Shares shall be made by a party hereto or considered or accepted by a party hereto unless the purchase price contained in the offer attributable to each Preferred Share is the greater of (i) the amount per Preferred Share as would have been payable had all Preferred Shares been converted to Common Shares pursuant to the provisions of the Articles immediately prior to the purchase and (ii) redemption price per Preferred Share contained in the Articles.
Ranking of Shares. Each Share issued to a Holder under this part will, from the date on which it is issued, rank in all respects pari passu with the other then existing issued Shares, but will not carry any rights to any dividends or other distributions declared or paid or made on the Shares (other than as provided for in part 5) before the relevant Conversion Date.
Ranking of Shares. Shares acquired by a Participant under the Plan will rank equally in all respects with the Shares then in issue, except that they shall not rank for any right attaching to them by reference to a record date preceding the Option Exercise Date.

All Shares issued pursuant to the exercise of Options under the Plan shall as to voting, dividend, transfer and other rights (including those arising on a liquidation) rank pari passu in all respects with the Shares then in issue, except that they shall not rank for any dividend or other rights declared by reference to a record date preceding the date of such exercise.
Ranking of Shares. The Shares shall rank pari passu in all respects except as expressly hereinafter provided as regards the appointment of Directors, voting and quorum.
