Ratification of Actions. By accepting the Award or other benefit under the Plan, the Participant and each person claiming under or through him or her shall be conclusively deemed to have indicated the Participant's acceptance and ratification of, and consent to, any action taken under the Plan or the Award by the Company, its Board of Directors, or the Committee.

By accepting the RSU Award or other benefit under the Plan, the Recipient and each person claiming under or through him shall be conclusively deemed to have indicated the Recipient’s acceptance and ratification of, and consent to, any action taken under the Plan or the RSU Award by the Company, the Board or the Committee.

By accepting the Award or other benefit under the Plan, the Participant and each person claiming under or through him or her shall be conclusively deemed to have indicated the Participant’s acceptance and ratification of, and consent to, any action taken under the Plan or the Award by the Company, the Board or the Committee. All decisions or interpretations of the Company, the Board and the Committee upon any questions arising under the Plan and/or this Award Agreement shall be binding, conclusive and final on all parties. In the event of any conflict between any provision of the Plan and this Award Agreement, the terms and provisions of the Plan shall control.

In the event of any conflict between any provision of the Plan and this Award Agreement, the terms and provisions of the Plan shall control.

Any acts previously done and performed, or caused to be done and performed, on or after March 22, 2013, by a person set forth on Schedule 2 of the Original Agreement or on Schedule 2 of the Agreement, in either capacity, or authorized representative or agent of the Company, in the name and on behalf of the Company, be, and each of them hereby is, adopted, ratified, confirmed and approved in all respects as the acts and deeds of the Company.

By accepting the PSA Award or other benefit under the Plan, the Participant and each person claiming under or through him shall be conclusively deemed to have indicated the Participant’s acceptance and ratification of, and consent to, any action taken under the Plan or the PSA Award by the Company, the Board, or the Committee.

Any acts previously done and performed, or caused to be done and performed, on or after March 22, 2013, by (i) a person set forth on Schedule 2 of the Original Agreement or on Schedule 2 of the Agreement, in either capacity, or authorized representative or agent of the Company, and/or (ii) Xxxxxxxx Xxxx, Xxxxxx X. Xxxxxx and Xxxxxxxxx X. Xxxxxx in their capacity as Managers, in the name and on behalf of the Company, be, and each of them hereby is, adopted, ratified, confirmed and approved in all respects as the acts and deeds of the Company.
Ratification of Actions. All actions of the parties from the Effective Date through the date of execution of this Amendment are hereby ratified and confirmed in all respects, to the extent such actions are consistent with the terms of the Agreement.
Ratification of Actions. 93. Subject to the Law, all acts taken in good faith by the Board of Directors and/or a Committee of Directors or by an individual acting as a member thereof shall be valid even if it is subsequently discovered that there was a defect in the appointment of the Board of Directors, the Committee of Directors or the member, as the case may be, or that the members, or one of them, was/were disqualified from being appointed as a director/s or to a Committee of Directors.
