Ratification of Operating Agreement. The parties hereby ratify the provisions of the Operating Agreement as herein amended.
Ratification of Operating Agreement. Except as expressly set forth herein, the parties hereby ratify the Operating Agreement (as amended hereby) and agree that the Operating Agreement continues in full force and effect, provided that no party shall be relieved of any liability accruing under the Operating Agreement prior to giving effect to this First Amendment.
Ratification of Operating Agreement. The Operating Agreement, as amended hereby, remains in full force and effect and is ratified.
Ratification of Operating Agreement. The Company, the Manager, and the Member each hereby ratify and affirm the Operating Agreement, as amended hereby, and agree to perform each of their respective obligations set forth in the Operating Agreement. Except as set forth herein, the Operating Agreement shall remain unmodified and in full force and effect. In the event of any inconsistency between the provisions of this Amendment and the provisions of the Operating Agreement, this Amendment shall control.
Ratification of Operating Agreement. Except as expressly modified and amended herein, all of the terms and conditions of the Operating Agreement shall remain in full force and effect.
Ratification of Operating Agreement. Other than as set forth in this letter agreement, the Operating Agreement is unmodified and continues in full force and effect.
Ratification of Operating Agreement. An instrument, executed by the Member making the Disposition and its Assignee, containing the following information and agreements, to the extent they are not contained in the instrument described in Section 2.03(d)(i)(A): (i) the notice address of the Assignee; (ii) the Sharing Ratios and (if the Assignee is to be admitted as a Member) the Commitments after the Disposition of the Member effecting the Disposition and its Assignee (which together must total the Sharing Ratio and the Commitment of the Member effecting the Disposition before the Disposition); (iii) if the Assignee is to be admitted as a Member, (A) the Assignees ratification of this Operating Agreement and agreement to be bound by them, and (B) its confirmation that the representations and warranties in Section 2.02 are true and correct with respect to it; (iv) if the Assignee is not to be admitted as a Member, an acknowledgement by the Assignee that the Interest (or other applicable Membership Rights) acquired by it is subject in all respects to this Operating Agreement; and (v) representations and warranties by the Member and its Assignee (A) that the Disposition (and admission, if applicable), is being made in accordance with all applicable Law.
Ratification of Operating Agreement. Except as set forth above, all other terms and conditions of the Operating Agreement shall remain in full force and effect. This First Amendment was approved by a majority of the Company’s Class A Members at the annual meeting of Class A Members held on February 11, 2010.
