Reasonable Grounds. For the purposes of this Agreement, reasonable grounds exists when the employer is aware of facts that would lead a reasonable person to believe that the employee is under the influence of drugs and alcohol as those terms are defined in this Agreement.

Reasonable Grounds. In the case of a criminal or administrative action or proceeding that is enforced by a monetary penalty, he had reasonable grounds for believing that his conduct was lawful.

  • Good Faith and Commercially Reasonable Manner Performance of all obligations under this Annex, including, but not limited to, all calculations, valuations and determinations made by either party, will be made in good faith and in a commercially reasonable manner.
