Receipt of Stockholder Approval. Dreyer's shall have obtained the Required Dreyer's Vote in connection with the approval and adoption of this Agreement and the Merger by the stockholders of Dreyer's.
Receipt of Stockholder Approval. Jazz shall have obtained the Jazz Stockholder Approval.
Receipt of Stockholder Approval. The Company shall have delivered to Parent the Merger Consents from each Consenting Stockholder and the Requisite Approval Certificate pursuant to Section 6.1(a) and, if necessary under the MBCA, the Company shall have a duly noticed, called and held a meeting of its stockholders at which this Agreement, the Merger and the transactions contemplated hereby shall have been properly authorized and approved by the stockholders of the Company.
