Receipt of Stockholder Approvals. (i) General Mills shall have obtained the Required General Mills Votes in connectxxx xith the approval of the General Mills Sharx Xxxuance and the Charter Amendment by the stockholders of Xxxxral Mills and (ii) Diageo shall have obtained the Required Diageo Vote in xxxxection with the approval of the Transactions by the shareholders of Diageo.
