Common use of Recordkeeping, Verification and Audit Clause in Contracts

Recordkeeping, Verification and Audit. While this Agreement is in effect and for one (1) year after the effective date of its termination, upon request by Xxxxxx but not more than once per calendar year, Customer shall conduct a self-audit of its use of the Xxxxxx Products and, within ten (10) business days after receipt of such request, submit a written statement to Xxxxxx verifying that it is in compliance with the terms and conditions of this Agreement. Xxxxxx shall have the right, on its own or through its designated agent or third party accounting firm, to conduct an audit of Customer’s use and deployment of the Xxxxxx Products and monitor use of any SaaS Services, in order to verify compliance with this Agreement. Xxxxxx’x written request for audit will be submitted to Customer at least fifteen (15) days prior to the specified audit date, and such audit shall be conducted during regular business hours and with the goal of minimizing the disruption to Customer’s business. If such audit discloses that Customer is not in material compliance with the terms of this Agreement, then Customer shall be responsible for the reasonable costs of the audit, in addition to any other fees or damages to which Xxxxxx may be entitled under this Agreement and applicable law.
