Records and Data Processing. (a) As of the Effective Time, Purchaser shall become responsible for maintaining the files, documents and records referred to in this Agreement. Purchaser will preserve and protect them as required by applicable law and sound banking practice. After the Effective Time, Purchaser will permit Seller and its representatives, at reasonable times and upon reasonable notice, to examine, inspect, copy and reproduce (at Seller's expense) any such files, documents or records as Seller deems necessary.
(b) As of the Effective Time, Seller will permit Purchaser and its representatives, at reasonable times and upon reasonable notice, to examine, inspect, copy and reproduce (at Purchaser's expense) files, documents or records retained by Seller regarding the assets and liabilities transferred under this Agreement as Purchaser deems necessary.
(c) It is understood that certain of Seller's records may be available only in the form of photocopies, film copies or other non-original and non-paper media.

After the Effective Time, Purchaser will permit Seller and its representatives, for reasonable cause, at reasonable times and upon reasonable notice, to examine, inspect, copy and reproduce any such files, documents or records as Seller deem reasonably necessary and to have similar access to such records and Seller's former employees for purposes of preparation of records and reports (including regulatory and tax reports and returns) and as required in connection with third party litigation.
(b) As of the Effective Time, Seller will permit Purchaser and its representatives, for reasonable cause, at reasonable times and upon reasonable notice, to examine, inspect, copy and reproduce files, documents or records retained by Seller regarding the assets and liabilities transferred under this Agreement (to the extent that such information is readily available from Seller's records without incurring any significant expense) as Purchaser deem reasonably necessary.
(c) For a period of 90 days after the Effective Time, the party providing copies of records shall do so without charge; thereafter it may charge its customary rate for such copies.
(d) It is understood that certain of Seller's records, including certificates of deposit, may be available only in electronic form or in the form of photocopies, film copies or other non-original and non-paper media.
Records and Data Processing. (a) On and after the Effective Date, Buyer shall become responsible for maintaining the files, documents and records referred to in this Agreement. Buyer will preserve and safekeep them as required by applicable law and sound banking practices for the joint benefit of Seller and Buyer. After the Effective Date, Buyer will permit Seller and its representatives, for reasonable cause, at reasonable times and upon reasonable notice and at Seller's expense, to examine, inspect, copy and reproduce any such files, documents or records as Seller deems reasonably necessary, as long as such inspection is in compliance with all applicable laws and regulations.
(b) On or after the Effective Date, Seller will permit Buyer and its representatives, for reasonable cause, at reasonable times and upon reasonable notice and at Buyer's expense, to examine, inspect, copy and reproduce files, documents or records retained by Seller regarding the assets and liabilities transferred under this Agreement as Buyer deems reasonably necessary.

Purchaser will preserve and safekeep them as required by applicable law and sound banking practice for the joint benefit of Seller and Purchaser. After the Effective Date, Purchaser will permit Seller and its representatives, for reasonable cause, at reasonable times and upon reasonable notice and at Seller's expense, to examine, inspect, copy and reproduce any such files, documents or records as Seller deems reasonably necessary.
(b) On the Effective Date, Seller will transfer to Purchaser such open records, Loan files and other original documents as exist and are available relating to the assets being transferred and Deposit Liabilities being assumed by Purchaser hereunder (collectively, the "Records"); provided that should Purchaser require records or other information retained by Seller, Seller shall promptly perform the required research on behalf of Purchaser and make copies of, and excerpts from, such records as reasonably requested by Purchaser. The cost of such research shall be borne by Seller for 60 days after the Effective Date and thereafter by Purchaser, based on the schedule of fees for such services set forth in attached Schedule 1.8.
Records and Data Processing. (a) As of the Effective Time, Purchaser shall become responsible for maintaining the Records referred to in this Agreement. Purchaser will preserve and safekeep them as required by applicable law and sound banking practice for the joint benefit of Seller and Purchaser. In the event that Purchaser desires to destroy any of the Records, Purchaser shall provide written notice to Seller of such proposed destruction of Records, specifying the types and classes of Records to be destroyed, at least sixty (60) days prior to the proposed date of destruction of such Records. If so requested by Seller, Purchaser will provide Seller with copies of such Records proposed to be destroyed, at Seller's expense.
(b) After the Effective Time, Purchaser will permit Seller and its representatives, for reasonable cause, at Purchaser's business hours and upon reasonable notice and at Seller's expense, to examine, inspect, copy and reproduce any such Records as Seller deems reasonably necessary. It is understood by the Parties that certain of Seller's records, including certain of the Records, may be available only in the form of photocopies, film copies, or other non-original or non-paper media.
