Within the year ending on the date of this agreement the Company has not: 12.4.1 given notice of redundancies to the relevant Secretary of State or started consultations with a trade union under Chapter II of Part IV of the Trade Union and Labour Relations (Consolidation) Axx 0000 or failed to comply with its obligations under Chapter II of Part IV of that Act; or 12.4.2 been a party to a relevant transfer (as defined in the Transfer of Undertakings (Protection of Employment) Regulations 1981) or failed to comply with a duty to inform and consult a trade union under those Regulations.
