Reference to and Effect on Existing Agreement. Except as specifically modified above, the Existing Agreement and the other Transaction Documents shall remain in full force and effect and are hereby ratified and confirmed. The execution, delivery and effectiveness of this Amendment shall not operate as a waiver of any right, power or remedy of Agent under the Existing Agreement or any other Transaction Documents, nor constitute a waiver of any provision of the Existing Agreement or any other Transaction Documents, except as specifically set forth herein.

Reference to and Effect on Existing Agreement. Each of the parties hereto acknowledges and agrees that the Existing Agreement is, as of the date hereof, in full force and effect immediately prior to the restatement thereof pursuant to this Agreement. From and after the Restatement Effective Date, (i) the terms and provisions of this Agreement shall amend, restate and supersede the terms and provisions of the Existing Agreement in their entirety and shall not constitute a novation thereof, (ii) the continuing rights, remedies and obligations of the parties with respect to the Loans and all Borrower Obligations shall be governed by the terms and provisions of this Agreement, and (iii) all references to the Existing Agreement in any Facility Document or in any other document or agreement executed and delivered in connection therewith shall mean and be a reference to this Agreement.
