Referral to Third Party. If the matter is not resolved, either Party may refer the matter to a third party. By mutual agreement, the referral may be to Alternate Dispute Resolution (ADR). Referral to arbitration may be made by either Party without mutual agreement. Timelines outlined in this Article may be extended by mutual agreement between the Parties.

Referral to Third Party. If the parties have been unable to resolve the Dispute within the period stated in clause 19.2, then the parties must refer the Dispute to an Expert for determination. For the purposes of this clause, the Expert is a person: (a) having appropriate qualifications and experience relevant to determining the Dispute; (b) who is agreed by the parties or, failing agreement within 5 Business Days, is nominated at the request of any party by the President (or his nominee) of the Australasian Institute of Mining and Metallurgy; and (c) who does not act, or whose firm does not act, generally for any party.
Referral to Third Party. 6.1.1 If the matter in dispute has not been resolved in accordance with the procedures outlined in Clauses 1, 2, 3, 4 and 5 of this Schedule 3 the Medical Practitioner or, where applicable, his/her Representative Body may refer the dispute to an agreed Independent Disputes Resolution Panel Member (the “Panel Member”) by way of a written referral (the “Referral to Third Party”). 6.1.2 The Panel Member will be appointed in any given case from a panel agreed between the HSE and the IMO unless the Medical Practitioner wishes to nominate an alternative third party to review the matter in dispute. Any such alternative appointment will be agreed between the Medical Practitioner and the HSE and the referral to Third Party process outlined in sub-clauses 6.2.1, 6.2.2 of this Schedule 3 shall also apply in such instances. 6.1.3 The panel will be maintained by the HSE and any changes to its composition shall only be made by agreement between the HSE and the IMO.

  • Notice to Third Parties Licensee shall give written notice, prior to the first sale of Licensed Product, to any Third Party to which it sells Licensed Product of the restrictions contained in this Section 5, and Licensee shall use its best endeavors, without prejudice to any other provision of this Agreement, to ensure that such Third Parties will undertake to abide by the restrictions contained in this Section 5 and will assist the MPP and Pfizer in securing compliance with this Section 5 and the restrictions which it contemplates.

  • Sale to Third Party If the Company, after receiving the Sale Notice, fails to exercise its option as provided in Section 3.2, or if it declines to exercise the same, the Participant shall be entitled to transfer the Vested Shares to the third party on the terms contained in the Offer, and shall be entitled to have his Vested Shares transferred on the books of the Company, but only if the third party purchaser agrees to be bound by the terms of this Agreement applicable to Vested Shares. If the Participant fails to close the transfer of his Vested Shares within sixty (60) days after the option of the Company has expired or been waived, the restrictions contained in this Article III shall again apply and must be met prior to effecting any transfer of Vested Shares. Any transfer of Vested Shares by the Participant to any unaffiliated third party shall comply with all applicable securities laws, and the Company may refuse to transfer any Vested Shares unless it receives such assurance and opinions from legal counsel acceptable to the Company that any such transfer is in compliance with all applicable securities laws.
