Registration of Performance Bonus Shares. To ensure that any shares issued to the Manager under paragraph 2.4 of this Agreement are freely tradable, SmarTire shall register with the SEC any such shares issued. Upon or as soon as is practical after the issuance of such shares, SmarTire shall file a form S-8 or other appropriate form with the United States Securities and Exchange Commission (the "SEC") to effect registration.
