Duties and Devotion of Time. 2.01 It is acknowledged and agreed by the Consultant that the work of the Consultant is and will be of such a nature that regular hours may be impossible and there may be occasions in which the Consultant will be required to work more than eight hours per day and five days per week. It is also anticipated that there will be certain evenings, Saturdays, Sundays and holidays during which the Consultant will be required to work. The work of the Consultant is of an advisory and supervisory nature and accordingly the Consultant agrees that the consideration herein set forth will be in full and complete satisfaction for the Consultant’s work and services, no matter how or when performed, and the Consultant hereby releases the Company from any claims for overtime pay or compensation whatsoever which the Consultant might have by reason of any existing or future legislation or otherwise.
2.02 During the term of this agreement, the Consultant will be responsible for all day-to-day oil and gas operations of the Company, including, without restricting the generality of the foregoing:
a) identification, review, negotiation, acquisition and maintenance of oil and gas property interests;
b) planning exploration and development;
c) approval of invoices and collection of revenue relating to oil and gas operations;
d) hiring oil and gas operations personnel;
e) regulatory compliance;
f) budgeting; and
g) preparation of business plans.
2.03 In conducting its duties under this agreement, the Consultant will report to the Company’s Chief Executive Officer or, in his absence, the President and will act consistently with the Company’s directives and policies.
Duties and Devotion of Time. 1.01 The Consultant will provide the services of Xxxxx X. Xxxxxx ("Xxxxxx") as President of the Company, therefore the term Consultant shall refer to Xxxxxx and/or Calderan Ventures Ltd. It is acknowledged and agreed by the Consultant that the work of the Consultant is and will be that of an independent consultant and of such a nature that regular hours may be impossible and the Consultant may not work a full eight hours per day and a full five days per week. It is also anticipated that there will be certain evenings, Saturdays, Sundays and holidays during which the Consultant will be required to work. The work of the Consultant is of an advisory and supervisory nature and accordingly the Consultant agrees that the consideration herein set forth will be in full and complete satisfaction for the Consultant's work and services, no matter how or when performed, and the Consultant hereby releases the Company from any claims for overtime pay or compensation whatsoever which the Consultant might have by reason of any existing or future legislation or otherwise.
1.02 During the term of this agreement, the Consultant will be responsible for, but not limited to:
a) consulting on the identification, review, negotiation, acquisition and maintenance of oil and gas property interests; b) consulting on the planning of exploration and development; c) locating and securing financing; d) consulting on the negotiating of some contracts; e) consulting on the hiring of personnel; f) consulting on regulatory compliance; g) liaising with corporate counsel, auditors and transfer agents; h) conducting shareholder meetings for prospective shareholders; i) attending to market maintenance; and j) responding to shareholder and stock broker communications and inquiries.
1.03 In conducting its duties under this agreement, the Consultant will report to the Company's Board of Directors.

It is also anticipated that there will be certain evenings, Saturdays, Sundays and holidays during which the Manager will be required to work. The work of the Manager is of a supervisory nature, and accordingly the manager agrees that the consideration herein set forth will be in full and complete satisfaction for the Manager's work and services, no matter how or when performed, and the Manager hereby releases the Company from any claims for overtime pay or compensation whatsoever which the Manager might have by reason of any existing or future legislation or otherwise.
2.02 During the term of this Agreement, the Manager will, subject to the direction of the directors of the Company, be responsible for the following: the supervision, direction, control and operation of the Company and will have the obligation, duties, authority and power to do all acts and things as are customarily done by persons holding the position of President or performing duties similar to those performed by the President in corporations of similar size to the Company, and all acts and things as are reasonably necessary for the efficient and proper operation and development of the Company, but, without limiting the generality of the foregoing, will include all matters related to:
(a) providing the Company with opportunities to participate in the exploration and development of resource properties;
(b) using the best efforts of the Manager to obtain financing for the Company as and when required;
(c) managing the general administration of the Company including its internal corporate affairs, daily accounting, office and personnel management, and other matters of daily administration;
(d) carry out such other duties as the board of directors of the Company shall decide from time to time; and
(e) other matters of day-to-day administration which may reasonably be considered the responsibility of persons holding the position of President in corporations of similar size to the Company.
2.03 In conducting his duties under this Agreement, the Manager will report to the Company's Board of Directors and will act consistently with their directives and policies.

It is also acknowledged that there will be occasions in which the Employee will be required to work more than a full eight hours per day and/or a full five days per week. The Employee is entitled to take time off for a vacation, or vacations, which will be taken at a time, or times, to be arranged in advance with the Company so that it does not unduly affect the operations of the Company. The work of the Employee is in part of a supervisory nature and accordingly the Employee agrees that the consideration herein set forth will be in full and complete satisfaction for the Employee's work and services, no matter how or when performed, and the Employee hereby releases the Company from any claims for overtime pay or compensation whatsoever which the Employee might have by reason of any existing or future legislation or otherwise.
1.02 During the term of this Agreement the Employee will be responsible for the overall management and operation of the Company and will have the obligations, duties, authority and power as President and Chief Executive Officer to do all acts and things as are reasonably necessary for the efficient and proper execution and discharge of such responsibilities, including but not limited to oversight of feasibility, permitting, interaction with the capital markets including financing of the business plan, assuming one or more of the deposits demonstrate economic viability through a feasibility study and the Company secures all necessary permits and funding, the construction of a mining operation.
1.03 In conducting his duties under this Agreement, the Employee will report to the Company's board of directors and will act consistently with their directives and policies.
1.04 The Employee will perform the duties set out in paragraph 1.02. The Employee shall also perform such other duties that are not inconsistent with the duties set out above, as may be requested by the board of directors of the Company from time to time.
1.05 The Employee’s normal place of work will be 10 Xxxxx Xxxxxxx, Xxxxxxxxxx, XX0 0XX, XX. The Employee will be required to travel as necessary to perform the duties set out in paragraphs 1.02 and 1.04.

1.02 During the term of this Agreement, the Consultant shall assist in representing the Company at trade shows, liaising with the investment community, introducing the management of the Company to investors, and assisting in the presentation of information to those potential investors.
1.03 During the term of this Agreement, the Company may request that the Consultant organize and attend roadshows in various cities and at various locations. The Consultant will be responsible for coordinating all details related to these roadshows.
1.04 In conducting its duties under this Agreement, the Consultant will report to the Company’s President and will act consistently with his directives and policies.
1.05 In performance of services, Consultant shall comply with all applicable laws, including laws of Switzerland, Canada and USA concerning ethical business practices.
Duties and Devotion of Time. 1.01 Xxx Xxxxxxxxxxx shall provide FUTURE CARZ, INC. with specific communications and marketing services including:
1) communication support 2) website development and implementation 3) development of a corporate business plan and shall have the obligation, duties, and power to do all acts and things as are customarily done by persons holding that position of communications consultant for corporations of similar size to FUTURE CARZ, INC. and all acts and duties as are reasonably necessary for the efficient and proper operation and development of FUTURE CARZ, INC. communications support but, without limiting the generality of the foregoing, shall include all matters related directly or indirectly to the general communications of FUTURE CARZ, INC.
Duties and Devotion of Time. 1.01 The Consultant will provide consulting services to the Company as required regarding management of the Company and its oil and gas drilling and exploration interests.
1.02 It is acknowledged and agreed by the Consultant that the work of the Consultant is and will be of such a nature that regular hours may not be possible to be kept. There may be occasions when more of Consultants time is required than eight hours per day, five days per week. The Consultant acknowledges there will be occasions when evening, week-end and holiday work will be required. The work of the Consultant is of an advisory and supervisory nature. The Consultant is an independent contractor and as such hereby releases the Company from any and all claims for overtime pay, regardless of future legislation.
1.03 During the term of this Agreement, the Consultant will be responsible for the following:
a.) Identification, review, negotiation, acquisition and maintenance of oil and gas property interests;
b.) Exploration and development of oil and gas properties including negotiations of Joint Operating Agreements and the like;
c.) obtaining commitments for and securing financing as needed;
d.) Negotiating Contracts;
e.) Hiring of, reviewing, managing and terminating personnel and consultants;
f.) Oil and gas regulatory compliance;
g.) Acting as liaison’ with legal counsel, auditors and transfer agents;
h.) Conducting meetings of shareholders and prospective shareholders;
i.) Responding to shareholder and stock broker communications and inquiries.
1.04 In conducting its duties under this Agreement, the Consultant will report to the Company’s Board of Directors. At all times the Consultant shall act in accordance with the directives and policies of the Company’s Board of Directors.

RLK shall have the obligation and duty to conduct business related acts on behalf of the Company as directed by management of the Company, as are customarily done or deemed necessary for the operation of the Company. Such services shall include but are not limited to the following: o International Business Relations and Strategy o Investor/Shareholder Relations and Liaison o Press Release and Public Disclosure o Corporate Information Distribution and Public Relations o Business Planning/Operating Budget o Bookkeeping/Financial Statement Generation o Annual Report Creation and Production o Auditor Liaison o Banking/Record Keeping and Documentation o Legal Liaison o Corporate Minutebook Maintenance/Record Keeping o Transfer Agent Liaison o General Administration o Funding Services o Private Offering Structure
1.2 RLK shall provide for performance of the business functions described above in Section 1.1 (hereinafter "Consulting Services") relating to the business of the Company commensurate with the Company's requirements as it pertains to the Company's ongoing development and growth. RLK shall provide for all acts and duties as are reasonably necessary for the efficient and proper operation and development of the Company's operations and, without limiting the generality of the foregoing, shall include all matters related directly or indirectly to the current functioning business operations of the Company.
1.3 In conducing its duties under this Agreement, RLK shall report to the board of directors of the Company or to any appointed officer or agent as directed by the Company.
1.4 The Company agrees that RLK may have or acquire business, financial or consulting service interests in other companies or properties and agrees that RLK may devote reasonable time to such other outside companies and business affairs so long as these duties do not affect RLK's ability to perform its duties in accordance with the provisions of this Agreement.
