Reimbursement of Managers. All direct costs and expenses incurred by the Managers in managing and conducting the business and affairs of the Company, including, without limitation, (i) all costs and expenses incurred in organizing the Company and in conducting any business activities of the Company, (ii) telephone and other office expenses, (iii) travel expenses and (iv) expenses incurred in providing or obtaining such other professional, technical, administrative services and advice as the Managers may deem necessary or desirable, shall be paid or reimbursed by the Company as a Company expense.

Reimbursement of Managers. Each Manager shall be reimbursed for reasonable out-of-pocket expenses incurred in carrying out their duties as a Manager up to a maximum of $5,000 per Manager for each Fiscal Year.
Reimbursement of Managers. (a) The Managers shall be entitled to be reimbursed by the Company for out-of pocket expenses incurred in their capacities as Managers in connection with the management of the Company and its business. (b) The Managers shall receive compensation for any activities involving the affairs or the management of the Company only as provided for in written agreements with the Company.
Reimbursement of Managers. The Company shall promptly reimburse in full each non-employee Manager for all such Manager’s reasonable out-of-pocket expenses incurred in connection with attending any meeting of the Board of Managers or a committee thereof or any board of managers or committee thereof of a subsidiary of the Company for each Manager with respect to service on the Board of Managers. The Company shall cause to be established, as soon as practicable after such request, and will maintain, an audit and compensation committee. Each committee of the Board of Managers shall include a Fairmount Manager and a Venrock Manager unless the Fairmount Managers or the Venrock Managers otherwise notifies the Company in writing.
