Reimbursements of Agents. The Fiscal Agent shall on demand promptly reimburse each Agent for payments in respect of the Notes and Coupons properly made by it in accordance with the Conditions and this Agreement.

Subject to receipt of funds pursuant to Clause 4.1, the Principal Paying Agent shall promptly reimburse the Registrar, or any other Agent appointed pursuant to Clause 18.1, for payments in respect of the Bonds properly made by it in accordance with the Conditions and this Agreement. If the Principal Paying Agent pays out on or after the due date therefor, on the assumption that the corresponding payment by the Issuer or, as the case may be, the Guarantor has been or will be made and such payment has in fact not been so made by the Issuer or, as the case may be, the Guarantor then the Issuer or, as the case may be, the Guarantor shall on demand reimburse the Principal Paying Agent for the relevant amount, and pay interest to the Principal Paying Agent on such amount from the date on which it is paid out to the date of reimbursement at a rate per annum equal to the cost to the Principal Paying Agent of funding the amount paid out, as certified by the Principal Paying Agent, For the avoidance of doubt, no amounts will be payable by the Issuer or, as the case may be, the Guarantor in respect of interest under this Clause 4.4 to the extent that interest has already been paid or is payable under Clause 4.3 in respect of the relevant amount.
Reimbursements of Agents. Subject to the transfer of funds to the Fiscal Agent from the Issuer pursuant to Clause 4.1 above, the Fiscal Agent shall on demand reimburse each Agent for payments in respect of the Bonds properly made by it in accordance with the Conditions and this Agreement.

In relation to each Series, the Issuing and Paying Agent shall on demand and upon receipt of the relevant payment from the Issuer promptly reimburse each Paying Agent for payments in respect of the Notes properly made by it in accordance with the Conditions and this Agreement.

The Issuer shall on demand by the Principal Agent reimburse the Principal Agent for the relevant amount and pay interest to the Principal Agent on such amount that is outstanding from the date on which it is paid out by that Paying Agent to the date of reimbursement by the Issuer at the rate per annum then prevailing at the date of such funding equal to the cost to the relevant Paying Agent of funding the amount paid out plus two per cent. per annum as certified by the Principal Agent.
