Reimbursement of Legal Fees. On the Trade Date, Counterparty shall pay to all Sellers an amount (the “Trade Date Fee Amount”) equal to the lesser of (a) the attorney fees and other reasonable expenses related thereto incurred by the Sellers or their affiliates in connection with the Transactions entered into by the Sellers, on a several and not joint basis (the “Legal Fees”) and (b) $100,000 (the “Fee Cap Amount”). If the Trade Date Fee Amount is less than the Fee Cap Amount, on the Effective Date, Counterparty shall pay to all Sellers an amount equal to the lesser of (a) the Legal Fees incurred by the Sellers but not reimbursed under the Trade Date Fee Amount and (b) Fee Cap Amount minus the Trade Date Fee Amount. For the avoidance of doubt, notwithstanding the several and not joint nature of each Seller’s obligations hereunder, the “Reimbursement of Legal Fees” provisions will be calculated on an aggregate basis across all Sellers.
