Related Compensation. Approval of the non-binding compensation advisory proposal requires the affirmative vote of a majority of the shares of RSP common stock present in person or represented by proxy at the RSP special meeting and entitled to vote on the proposal. Abstentions will have the same effect as a vote “ AGAINST ” the proposal, and broker non-votes will have no effect on the outcome of the vote. The RSP board unanimously recommends a vote “FOR” the non-binding compensation advisory proposal.
