Common use of Relationship and Governance Clause in Contracts

Relationship and Governance. 3.1 Each Party will cooperate with the other Party in good faith in the performance of its respective activities contemplated by the Agreement through, among other things, making available, as reasonably requested by the other Party, such management decisions, information, resources, facilities, technology, approvals and acceptances in order that the provision of the Service under the Agreement may be accomplished in a proper, timely and efficient manner. Except as expressly provided otherwise, where agreement, approval, acceptance or consent of either Party is required by any provision of the Agreement, such action will not be unreasonably withheld or delayed.
