Remainder of the World. The right to commercialize the Licensed Products in the world, except the United States and Brazil, shall be granted to IBC-Empyrean, L.L.C., and in connection with such intention (A) IBC and IBC-Empyrean, L.L.C. shall enter into the License Agreement from IBC to IBC-Empyrean, (B) IBC and IBC-Empyrean, L.L.C. shall enter into the Trademark License Agreement from IBC to IBC-Empyrean, and (C) Empyrean and IBC-Empyrean, L.L.C. shall enter into the Trademark License Agreement from Empyrean to IBC-Empyrean.

Remainder of the World. Each party shall have the right of first refusal with respect to the other concerning Use of the Xxxx the Related Uses of the Xxxx in each other country of the world. Therefore, should either party, either directly or through a sublicensee, desire to make Use and make the Related Uses of the Xxxx in any country within which no Use has previously been made, such party shall present the proposed arrangement to the other for the other's consideration. The party to whom the proposal was made shall have thirty (30) days to advise the other, in writing, whether such party shall undertake the Use and Related Uses of the Xxxx in accordance with the terms of such proposal. Should such party notify the other of its refusal to accept such proposal, or should such party fail to notify the other of its desire to accept such proposal within such time, then the party making such proposal shall be free to commence Use of the Xxxx as set forth in such proposal and the other party shall have no further rights with respect to the Xxxx for such country.

  • TERM OF THE WARRANT AGREEMENT Except as otherwise provided for herein, the term of this Warrant Agreement and the right to purchase Preferred Stock as granted herein shall commence on the Effective Date and shall be exercisable for a period of (i) seven (7) years or (ii) three (3) years from the effective date of the Company's initial public offering, whichever is longer.

Any certificate of merger, certificate of conversion or other applicable certificate may be signed by any one (1) Trustee and facsimile signatures conveyed by electronic or telecommunication means shall be valid.
