Remedies; Right of Set-Off. The remedies provided in this Section 13 shall not be deemed exclusive of or limit any other remedies that may be available to an Indemnitee. If a Buyer's Indemnitee is entitled to indemnification as provided in Sections 13.2, 13.3, and 13.4, Buyer shall have the right to set-off the entire amount thereof against the amounts, if any, that Buyer may owe Sellers, provided, it shall be a condition to the exercise of the right of set-off that Buyer gives Sellers notice specifying in reasonable detail the basis for such set-off. Neither the exercise of, nor the failure to exercise, such right of set-off will constitute an election of remedies or limit Buyer in any manner in the enforcement of any other remedies that may be available to it.

Remedies; Right of Set-Off. Each Loan Party hereby irrevocably authorizes and instructs the Agent and the Collateral Manager to set-off the full amount of any Obligations due and payable against (i) any Collections, or (ii) the principal amount of any Loans requested on or after such due date. No further notification, act or consent of any nature whatsoever is required prior to the right of the Agent or the Collateral Manager to exercise such right of set-off; provided, however, the Collateral Manager shall promptly notify the Borrower (with a copy to the Agent): (1) a set-off pursuant to this Section 4.02 occurred, (2) the amount of such set-off and (3) a description of the Obligations that was due and payable.
Remedies; Right of Set-Off. Notwithstanding the foregoing or anything in here to the contrary, for a period of twelve (12) months after Closing, a Purchaser Indemnified Party may satisfy any Loss arising from the breach of Section 4.7 by set-off against the Purchase Price to the extent such payment has not been made. Notwithstanding anything to the contrary contained in this Agreement, Seller shall be entitled to pay cash in an amount equal to the undisclosed Liabilities for which the Purchaser Indemnified Parties are entitled to indemnification in lieu of the set-off against the Cash Purchase Price.
Remedies; Right of Set-Off. In addition to any other rights and remedies available to Buyer Indemnitees under applicable law, if Buyer Indemnitees have a right to indemnification under this Article VII, then Buyer Indemnitees may recover their undisputed Losses (the “Offset Amounts”) from and against any payments which may become due to Seller from Buyer under this Agreement or the Transition Services Agreement. The amount of any Losses that are disputed in good faith by Seller shall be placed into third-party escrow until such Losses are agreed to by the Seller or finally adjudicated to be payable pursuant to this Article VII.
Remedies; Right of Set-Off. 12.6.1 Except as otherwise expressly provided herein, termination of this Agreement (either in its entirety or with respect to one (1) or more countries or other jurisdiction(s)) in accordance with the provisions hereof shall not limit remedies that may otherwise be available in law or equity.

  • Waiver of Right of Set-Off The Custodian hereby waives and relinquishes all contractual and common law rights of set-off to which it may now or hereafter be or become entitled with respect to any obligations of the Funds to the Custodian arising under this Agreement.

The Secured Creditors agree that this Agreement may be enforced only by the action of the Administrative Agent or the Pledgee, in each case acting upon the instructions of the Required Lenders (or, after the date on which all Credit Document Obligations have been paid in full, the holders of at least the majority of the outstanding Other Obligations) and that no other Secured Creditor shall have any right individually to seek to enforce or to enforce this Agreement or to realize upon the security to be granted hereby, it being understood and agreed that such rights and remedies may be exercised by the Administrative Agent or the Pledgee or the holders of at least a majority of the outstanding Other Obligations, as the case may be, for the benefit of the Secured Creditors upon the terms of this Agreement.
