Renewal of Representations. It is a condition precedent to any disbursement under this Agreement that the representations and warranties contained in this Agreement are true at the time of payment and that the Recipient is not in default of compliance with any terms of this Agreement.

Renewal of Representations. When submitting a claim for payment, as well as when submitting any report in accordance with Schedule 5, the Proponent must provide TPC with an update on all representations, warranties and undertakings made hereabove; all representations, warranties and undertakings not updated will be deemed renewed and unchanged from the date of execution of this Agreement or the last update as the case may be. Failure to update will constitute an Event of Default as a material change.

  • Exclusivity of Representations The representations and warranties made by Seller in this Article III are the exclusive representations and warranties made by Seller with respect to Seller, the Company, the Chinese JV any of their respective Affiliates, the Business, the Purchased Assets and the Assumed Liabilities. Seller hereby disclaims any other express or implied representations or warranties with respect to Seller, the Company, the Chinese JV or any of their respective Affiliates, the Business, the Purchased Assets or the Assumed Liabilities.
