Common use of Repair and classification Clause in Contracts

Repair and classification. Each Borrower shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class ship ownership and management practice; (b) so as to maintain that Ship with the highest class applicable to vessels of the same age, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, acceptable to the Agent free of any overdue recommendations or qualifications; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant Approved Flag State or to vessels trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and the ISPS Code.

Repair and classification. Each Borrower Guarantor shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class first‑class ship ownership and management practice; (b) so as to maintain the highest classification available to ships of the same type, specification and age as that Ship with the highest class applicable to vessels of the same age, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, acceptable to the Agent Societies free of any overdue recommendations or qualificationsand conditions affecting that Ship's class; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in on the relevant Approved Flag State or to vessels trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and the ISPS Code.

Each Borrower shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class ship ownership and management practice; (b) so as to maintain that Ship with the highest Ship’s class applicable to vessels specified in Article 1.2 of the same age, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, acceptable to the Agent relevant Shipbuilding Contract free of any overdue recommendations or qualificationsand conditions; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant under that Ship’s Approved Flag State (or any other port of registry of the Ship in question at which it may be registered in accordance with the provisions of the Finance Documents) or to vessels trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and the ISPS Code.

Each Borrower Owner shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class ship ownership and management practice; (b) so as to maintain that Ship with the highest class applicable to vessels of the same age, type and specification as such Ship at with a classification society which is a member of the International Association of Classification Societies, Societies and which is acceptable to the Agent (acting upon the instructions of the Majority Lenders) free of any all overdue recommendations or qualificationsand conditions affecting class; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant on an Approved Flag State or to vessels trading to any jurisdiction to which that Ship may trade from time to timetime including, including but not limited to to, the ISM Code, the ISM Code Documentation, the ISPS Code and the ISPS CodeCode Documentation.

Each Borrower shall, and shall procure that the Collateral Owner shall, keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class ship ownership and management practice; (b) so as to maintain that Ship with the highest class applicable to classification available for vessels of the same age, type and specification as such Ship at a with s classification society which is a member of the International Association of Classification Societies, IACS acceptable to the Agent Lender, free of any overdue recommendations or qualificationsand requirements affecting such Ship’s class; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant Approved Flag State or to vessels trading to any jurisdiction to which that such Ship may trade from time to time, including but not limited to the ISM Code, the ISM Code Documentation and the ISPS CodeCode Documentation.

Each Borrower Guarantor shall keep the in relation to each Ship owned by it keep that Ship in a good and safe condition and state of repair: (a) consistent with first-class ship ownership and management practice; (b) so as to maintain that Ship Ship's class (as approved by the Majority Lenders) with a class society (as approved by the highest class applicable to vessels of the same age, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, acceptable to the Agent Majority Lenders) free of any overdue recommendations or qualificationsand conditions affecting that Ship’s class; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in under the relevant Approved Flag State flag of that Ship or to vessels trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and or the ISPS Code.

Each The Borrower shall procure that each Owner shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class first‑class ship ownership and management practice; (b) so as to maintain that the classification set out opposite each Ship in Schedule 5 (Ships, Owners, Accounts, Classification and Approved Flag Details) with the highest class applicable to vessels of the same age, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, IACS and acceptable to the Agent free (acting on the instructions of any overdue recommendations or qualificationsthe Majority Lenders); and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant applicable Approved Flag State or to vessels trading to any jurisdiction to which that the Ship may trade from time to time, including but not limited to the ISM Code and or the ISPS Code.

Each Borrower shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class first‑class ship ownership and management practice; (b) so as to maintain that Ship with the highest class applicable to vessels of the same age, type and specification as such the Ship at a Lloyd's Register of Shipping (or an equivalent IACS classification society which is a member of the International Association of Classification Societies, acceptable to the Agent in its sole discretion) free of any overdue recommendations or qualificationsrecommendations, adverse notations and conditions; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant Approved Flag State or to vessels trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and the ISPS CodeCode and the ISM Code Documentation and the ISPS Code Documentation.

Each The Borrower shall keep the Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-first class ship ownership and management practice; (b) so as to maintain that Ship the class specified in the Shipbuilding Contract (namely + 100A5, CONTAINER SHIP, DG, IW, BWM, +MC, AUT, CM-PS) with the highest class applicable to vessels of the same age, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, acceptable to the Agent Germanischer Xxxxx free of any overdue recommendations or qualificationsand conditions; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in the relevant Approved Flag State Xxxxxxxx Islands or to vessels trading to any jurisdiction to which that the Ship may trade from time to time, including but not limited to the ISM Code and the ISPS Code.

Repair and classification. Each Borrower Shipowner shall keep the Ship owned by it in a good and safe condition and state of repair:repair (and shall comply with all reasonable requests in respect of this from the Security Agent arising out of any inspections pursuant to Section 7 below): (a) consistent with first-class first‑class ship ownership and management practice; (b) so as to maintain the highest class for that Ship with the highest class applicable to vessels of the same ageClassification Society, type and specification as such Ship at a classification society which is a member of the International Association of Classification Societies, acceptable to the Agent free of any overdue recommendations or qualificationsand conditions; and (c) so as to comply with all laws and regulations applicable to vessels Ships registered at ports in under the relevant law of the Approved Flag State on which that Ship is registered or to vessels Ships trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and the ISPS Code.

Repair and classification. Each Borrower Owner shall (in the case of any Ships owned by that Owner) keep the each Ship owned by it in a good and safe condition and state of repair: (a) consistent with first-class ship ownership and management practice; (b) so as to maintain that Ship Ship’s class as at the date of this Agreement free of overdue recommendations and conditions affecting that Ship’s class with the highest class applicable to vessels of the same age, type and specification as such Ship at a classification society which is a member of has been approved by the International Association of Classification Societies, acceptable to the Agent free of any overdue recommendations or qualificationsAgent; and (c) so as to comply with all laws and regulations applicable to vessels registered at ports in on the relevant applicable Approved Flag State or to vessels trading to any jurisdiction to which that Ship may trade from time to time, including but not limited to the ISM Code and the ISPS Code.
