Repayment of the Commission. If, at any time during the Compliance Term, X.Xxxxx fails to employ less than the Minimum Employment Number from the Site, (A) X.Xxxxx shall, within ten (10) days of written request for repayment, repay the Commission an amount equal to the following: percentage X.Xxxxx fell below the Minimum Employment Number x (amounts paid by the Commission pursuant to all Training & Recruitment Disbursement Requests + amounts paid by the Commission pursuant to all Construction Disbursement Requests (the “Reimbursement Amount”)(for example and without limitation, if X.Xxxxx employs 100 FTEs and has received a total of $90,000.00, X.Xxxxx shall repay the Commission 1 - 100/130 (.76923) x 90,000.00 =$20,769.30); and (B) X.Xxxxx’s rights to any further payments under this Agreement shall automatically terminate, and X.Xxxxx shall pay the Commission the Reimbursement Amount within fifteen (15) days of receiving an invoice for the applicable Reimbursement Amount. If not paid in full by such due date, the Reimbursement Amount shall bear interest from the due date thereof to the date of payment at the prime rate of interest, as reported in the Wall Street Journal, plus five percent (5%) per annum. The Commission shall further be entitled to its reasonable attorneys’ fees and other costs incurred collecting the Reimbursement Amount.

  • CONDITIONS FOR EMERGENCY/HURRICANE OR DISASTER - TERM CONTRACTS It is hereby made a part of this Invitation for Bids that before, during and after a public emergency, disaster, hurricane, flood, or other acts of God that Orange County shall require a “first priority” basis for goods and services. It is vital and imperative that the majority of citizens are protected from any emergency situation which threatens public health and safety, as determined by the County.
