Common use of Reports to Certificateholders and the Rating Agencies Clause in Contracts

Reports to Certificateholders and the Rating Agencies. (a) The Trustee at its own expense shall provide to each Certificateholder a copy of each Distribution Date Statement described in Section 3.9 concurrently with the delivery of the statement described in Section 4.5 below. (b) The Trustee shall provide to any Certificateholder who so requests in writing (addressed to the Corporate Trust Office) a copy of the annual audit statement described in Section 3.10, or the annual audit report described in Section 3.11. The Trustee may require the Certificateholder to pay a reasonable sum to cover the cost of the Trustee's complying with such request. (c) The Trustee shall forward to the Rating Agencies and the Insurer the statement to Certificateholders described in Section 4.5 and any other reports it may receive pursuant to this Agreement to (i) Standard & Poor's Ratings Services, Asset-Backed Surveillance Group, 26 Bxxxxxxx, Xxxxxxxxx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000, (xi) Moodx'x Xxxestors Service, Inc., ABS Monitoring Dept., 99 Cxxxxx Xxxxxx, 0xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000, xxd (iii) the address of the Insurer at the address set forth in the Insurance Agreement.

(b) The [Indenture] Trustee shall provide to any Certificateholder Securityholder who so requests in writing (addressed to the Corporate Trust OfficeOffice of the [Indenture] Trustee) a copy of the annual audit statement described in Section 3.104.10, or the annual audit report described in Section 3.114.11. The [Indenture] Trustee may require the Certificateholder to pay a reasonable sum to cover the cost of the [Indenture] Trustee's complying with such request.
