Common use of Reports to Certificateholders and the Rating Agencies Clause in Contracts

Reports to Certificateholders and the Rating Agencies. (a) The Trustee shall provide to any Certificateholder who so requests in writing (addressed to the Corporate Trust Office) a copy of any Servicer's Certificate described in Section 13.9, the annual audit statement described in Section 13.10, or the annual audit report described in Section 13.11. The Trustee may require the Certificateholder to pay a reasonable sum to cover the cost of the Trustee's complying with such request. (b) The Trustee shall forward to the Rating Agencies the statement to Certificateholders described in Section 14.8 and any other reports it may receive pursuant to this Agreement to (i) Standard & Poor's Corporation, Asset-Backed Surveillance Group, 00 Xxxxxxxx, Xxxxxxxxx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000, and (ii) Xxxxx'x Investors Service, Inc., ABS Monitoring Dept., 00 Xxxxxx Xxxxxx, 0xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000.
