Representation of Xxxxx. Xxxxx represents that, at all times during the term of employment he will have a duly issued and validated certificate to act as Superintendent of Schools in the Commonwealth of Pennsylvania and agrees to provide a copy thereof to the District, upon request. Xxxxx agrees to promptly notify the District if the foregoing representation is no longer true and correct during any period during the term of employment.
Representation of Xxxxx. The Banks severally represent that they will be taking the Notes issued hereunder for their own respective accounts to evidence loans made in the ordinary course of their commercial banking business, and not with a view of distribution of such Notes; provided, however, that nothing contained in this Section 8.9 shall create any rights or remedies in favor of the Borrower or anyone else against any Bank so long as such Bank acts in good faith upon the advice of its counsel with respect to compliance with applicable laws; provided further, that the assets of each Bank must be and shall always remain within the control of each Bank.

Xxxxx hereby acknowledges that he has read this Agreement carefully, that he has been afforded sufficient time to understand the terms and effects of this Agreement, that he has been advised and encouraged to consult with legal and/or other counsel and in fact he has consulted with legal counsel, that he voluntarily is entering into and executing this Agreement and that neither Town & Country nor its agents or representatives have made any representations inconsistent with the terms and effects of this Agreement.
Representation of Xxxxx. Xxxxx owns the Pledged Collateral free and clear of all liens, claims and encumbrances. This agreement creates a valid security interest in favor of SCI.
