Representations and Warranties by Members. Each Member represents and warrants with regard to itself to each of the other Parties as follows: such Member has the corporate authority and capacity to enter into and give full effect to this Agreement; the execution, delivery and performance of this Agreement has been duly authorized by such Member and duly executed and delivered by or on behalf of such Member; and this Agreement constitutes the valid and binding obligation of such Member enforceable against such Member in accordance with its terms, subject to limitations on enforcement imposed by bankruptcy, insolvency, reorganization or other laws affecting the enforcement of the rights of creditors and others to the extent that equitable remedies are only available in the discretion of the court from which they are sought.
