REPRESENTATIONS AND WARRANTIES OF ESAT. The representations, warranties and statements of eSat contained in this Agreement, the exhibits hereto and the eSat Disclosure Schedule, shall be complete and accurate as of the date of this Agreement and shall also be complete and accurate at and as of the Effective Date, except for changes contemplated by this Agreement, as if made on the Effective Date; and eSat shall have performed or complied with all agreements and covenants required by this Agreement to be performed or complied with by it at or prior to the Effective Date.
