REPRESENTATIONS AND WARRANTIES OF GREYSTONE. Except as set forth in the disclosure letter delivered by Greystone to Sonoma prior to the execution of this Agreement (the “Greystone Disclosure Letter”), Greystone represents and warrants to Sonoma as follows:
REPRESENTATIONS AND WARRANTIES OF GREYSTONE. Greystone hereby represents and warrants to Xxxxxxx that the statements in this Article 3 are correct, except as set forth in the schedules accompanying this Agreement (each, a “Schedule” and, collectively, the “Disclosure Schedules”). Any information set forth in any Schedule or incorporated in any Section of the Agreement shall be considered to have been set forth in each other Schedule and shall be deemed to modify the representations and warranties in Article 3 whether or not such representations and warranties refer to such Schedule or any Schedule so long as the relevance of such disclosure to such Schedule is reasonably apparent on its face; provided that the disclosures and information in the Schedules shall not constitute a representation or warranty and shall not expand any representation or warranty in Article 3.
REPRESENTATIONS AND WARRANTIES OF GREYSTONE. (a) Greystone hereby represents and warrants to Norrxx xxxt: (i) it is a corporation duly formed and validly existing under the laws of the State of California, with full power and authority to enter into this letter agreement and perform its obligations hereunder, (ii) all corporate action of Greystone necessary to be taken with respect to the entering into of this letter agreement and the performance of its obligations hereunder has been take, (iii) when fully executed by all parties, this letter agreement will constitute a legal, valid and binding instrument enforceable against Greystone in accordance with its terms, subject to bankruptcy, insolvency and other similar laws relating to the enforcement of creditors' rights generally.
