Representations and Warranties of M&M and Shareholder. Except as disclosed, or as qualified by information set forth, in M&M’s and the Shareholder’s disclosure letter, dated the same date as this Agreement and delivered to Buyer concurrently with this Agreement (the “Disclosure Letter”), as the same shall be supplemented and updated, if necessary, as of the Closing Date (which supplemented and updated Disclosure Letter shall be acceptable to Conihasset and Buyer in their sole and absolute discretion), M&M and the Shareholder represent and warrant to Buyer as of the date hereof (except to the extent that M&M’s and the Shareholder’s representations and warranties expressly speak as of a specified earlier date) and as of the Closing Date, as follows:
